PC TOOLS END USER LICENSE AGREEMENT

NOTIFICATION: Permission to use this product (“Software”) is conditional upon you as the customer and licensee (“You”) agreeing to the terms set out below (this “Agreement”)

YOU WILL NOT BE ABLE TO INSTALL THE SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL THE TERMS OF THIS AGREEMENT BY CLICKING ON THE [“ I AGREE”] BUTTON. THIS WILL BE DEEMED TO BE YOUR AND YOUR EMPLOYEES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT AND YOU WILL BECOME THE LICENSEE OF THE SOFTWARE. PLEASE PRINT A COPY FOR YOUR RECORDS.

If You do not wish to accept the following terms do not select the [“I AGREE”] Button and the Software will not install on to Your computer, mobile or mobile computing device (“Device”). In circumstances where You purchase the Software without accepting the terms of this Agreement and wish to return the Software please contact PC Tools to determine whether You are eligible for a refund.

License
1. 1.1 If You are a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Australian Company, PC Tools Pty Ltd ACN 108 759 208 and the parties to this Agreement will be You and PC Tools Pty Ltd ACN 108 759 208. If You are not a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Irish Company, PC Tools Limited (Irish Company Number 426110) and the parties to this Agreement will be You and PC Tools Limited (Irish Company Number 426110). For the purposes of this Agreement, the licensor (being either PC Tools Limited or PC Tools Pty Ltd) will be referred to as "PC Tools". For the purposes of this Agreement, "Oceania" means American Samoa, Antarctica, Australia and its outside territories, including Heard Island & McDonald Islands, Cocos (Keeling) Islands, Christmas Island, Ashmore & Carter Islands, and Coral Sea Islands, Cook Islands, Fiji, French Polynesia, Guam, Kiribati, Marshall Islands, Federated States of Micronesia, Nauru, New Caledonia, New Zealand, Niue, Norfolk Island, Northern Mariana Islands, Palau, Papua New Guinea, Pitcairn Islands, Samoa, Solomon Islands, Tokelau, Tonga, Tuvalu, Vanuatu and Wallis and Futuna Islands.
2. 1.2 PC Tools has agreed to license use of the Software to You pursuant to this Agreement and the terms and conditions set out below.
3. 1.3 PC Tools grants to You a non-exclusive, non-transferable, revocable license to:
  - (a) install and execute the Software;
  - (b) make one additional copy of the Software for backup purposes only; and
  - (c) use the Software strictly in accordance with the provisions of this Agreement during the subscription period specified for that Software.
4. 1.4 The number of Devices on which You are entitled to install and execute the Software is specified at the time of purchase. If You wish to install the Software on more than this number of Devices, You may only do so upon receipt of written consent from PC Tools and upon payment of an additional license fee as stipulated by PC Tools.
5. 1.5 Your license to use the Software as granted herein only permits You to use the version of the Software which You have installed or purchased from PC Tools. Some products will include Your rights to receive automatic updates, enhancements and improvements of the Software and these will be provided to You by PC Tools at its sole discretion. Some products may require You to upgrade to a more recent version if You wish to avail Yourself of the support services by PC Tools in relation to that particular product. These upgrades are usually offered as part of the subscription provided to You or may be required as part of PC Tools product lifecycle. If You receive such an update or improvement, such Software shall automatically be deemed to be a part of the Software licensed to You under this Agreement. If You enter into a separate agreement with PC Tools for the supply of any other product or updates of the Software then such a separate Agreement will govern the use of those products and updates.
6. 1.6 You acknowledge that PC Tools may offer to maintain and update the Software but it is not obliged to do so unless You have purchased a subscription that entitles You to updates for a specified period, or You purchase a separate maintenance contract. If no subscription period is specified at the time You purchase a license for this product, the subscription period will be one (1) year from the date You either first purchased (in the case of online downloads) or first installed the Software (in the case of retail purchases). Should You wish to receive information about updates please view PC Tools website on a regular basis at www.pctools.com.
7. 1.7 If You have purchased a subscription that entitles You to updates, or You purchase a separate maintenan+-ce contract, You acknowledge that after the specified subscription period or maintenance period has expired, You have no further right to receive any updates without the purchase of a renewal or new subscription or maintenance contract. You also acknowledge that PC Tools may limit the functionality of the Software upon the expiry of any subscription period or maintenance period unless You purchase a new subscription or maintenance contract.
License Fee
1. 2.1 Where a license fee is payable by You in respect of the Software, You are not entitled to use the Software until the license fee has been paid and then only for the period of the subscription (where specified). In the case of payment by credit card, payment will not be deemed paid until the credit card payment has been authorized by the billing provider. A separate license fee is payable in the circumstances described in clause 1.4.
2. 2.2 However, You are not entitled to receive technical support nor the full functionality that comes with the Software until a license fee has been paid.
Licensee's Obligations
1. 3.1 As the Licensee You hereby undertake the following obligations:
  - (a) to not print, copy, reproduce, translate, adapt, vary, alter, change, reverse engineer, decompile or modify the Software by any means or in any other form, other than to make one temporary copy of the Software for back-up and security purposes, without the express consent of PC Tools, except as expressly authorized by this Agreement and subject to Your rights under applicable law;
  - (b) to supervise and control the use of the Software in accordance with the terms of this Agreement;
  - (c) to ensure Your employees, sub-contractors and other agents who have authorized access to the Software are made aware of the terms of this Agreement;
  - (d) to not provide or otherwise make available the Software in any form to any person other than those referred to in paragraph (c) without the written consent of PC Tools;
  - (e) to not give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate or publish the Software in any form to any other person or attempt to do any of these acts;
  - (f) to not alter, change, remove or obscure any notices or other indications (including copyright notices) as to ownership of the Software;
  - (g) not to access or use the Software on more than one personal stand-alone Device, or otherwise allow the Software to be accessed or used by more than one user at any one time except as expressly authorized by this Agreement;
  - (h) to not engage in any acts which infringe PC Tools intellectual property rights in the Software; and
  - (i) to not use the Software in automatic, semi-automatic or manual tools designed to create virus signatures, virus detection routines, any other data or code for detecting malicious code or data.
2. 3.2 You acknowledge that the License granted by clause 1 does not make You the owner of the Software nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property rights subsisting in the Software to You.
3. 3.3 If you have licensed antivirus Software, you acknowledge that the Software will seek to remove codes such as viruses, spyware, adware and malware. In some circumstances removal of detected code may result in You breaching a license to use the host software which originally installed the code and may result in host programs to cease operating. You agree to consult the terms of any license agreement for the host program before authorizing the removal of any viruses, spyware, adware or malware associated with that program.
Warranty
1. 4.1 You hereby acknowledge that the Software may not be uninterrupted and cannot be guaranteed error free and further acknowledge that the existence of any such errors shall not constitute a breach of this Agreement by PC Tools. In particular, PC Tools does not guarantee that the Software will (i) detect and/or remove all known viruses, spyware, adware, malware, Trojans, keyloggers and trackware, or locate all browser infections and tracking cookies on Your Device, nor that the Software will not occasionally erroneously report a virus in a file or system not infected by that virus; (ii) recover or detect all undeleted files which are present on Your Device; (iii) block all threats on Your Device, including from malicious websites or potential hackers; (iv) detect and/or filter all spam or junk email; or (v) detect, remove or rectify any errors on Your Device, including, without limitation any errors in Your Windows registry file or other operating system errors. If the Software is a beta version, You acknowledge and agree that (i) the Software may contain errors and defects and may not function as intended or in accordance with its specifications; and (ii) You assume all risk in using the Software and agree to take due care in the installation, execution and testing of the Software on Your Device’s system.
2. 4.2 The particular operating systems upon which the Software has been designed to execute will be published by PC Tools from time to time ("Compatible OS"). You agree that You will not execute or install the Software on any operating system other than a Compatible OS. You acknowledge and agree that the Software may not execute correctly and may interfere with other software if executed on an operating system which is not a Compatible OS.
3. 4.3 In the event that any terms, conditions, representations or warranties are implied by statute, common law or equity ("Prescribed Terms") into this Agreement which cannot be lawfully excluded, the Prescribed Terms will apply to this Agreement, save that the liability of PC Tools for breach of any Prescribed Terms will be limited, to the extent permitted by law, at the option of PC Tools, to any one or more of the following:
  - (a) the replacement of the Software to which the breach relates or the supply of equivalent Software;
  - (b) the repair of the Software;
  - (c) the payment of the cost of replacing the Software or of acquiring equivalent Software; or
  - (d) the payment of the cost of having the Software repaired.
4. 4.4 If the liability of PC Tools for breach of any Prescribed Terms is capable of exclusion, they are hereby excluded to the fullest extent permitted by law.
5. 4.5 Except as provided by the Prescribed Terms (if any), which are not capable of exclusion or limitation, or as expressly set out in these terms:
  - (a) PC Tools makes no warranties in relation to the Software, including warranties as to the performance or fitness for purpose of the Software (other than that PC Tools is entitled to grant to You the rights set out in this Agreement);
  - (b) You will not under any circumstances have any cause of action against, or right to claim or recover from, PC Tools for or in respect of any loss, damage or injury (including without limitation any loss of profit, indirect or consequential loss, damage or injury) arising from the supply or use of the Software or any breach of these terms; and
  - (c) subject to paragraph (b) above, the maximum liability of PC Tools to You in respect of any breach of this Agreement or otherwise in respect of Your use of the Software will be the amount You have paid PC Tools for the Software and if You have not paid PC Tools any amount for the Software, will be the amount of US $1 (one US dollar).
6. 4.6 PC Tools will not be liable for any indirect or consequential damages arising out of a breach of this Agreement or arising out of the supply of the Software.
7. 4.7 You acknowledge that You have exercised Your independent judgment in acquiring the Software and have not relied upon any representations made by PC Tools which have not been stated expressly in this Agreement or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material produced by PC Tools.
Copyright and Trade Marks
1. 5.1 You acknowledge that the Software and all related products (including but not limited to Device manuals and Device literature) ("Products") are the subject of copyright. You therefore, shall not during or any time after the expiry or termination of this Agreement, permit any act which infringes that copyright and, without limiting the generality of the foregoing, You specifically acknowledge that You may not copy the Software or Products except as otherwise expressly authorized by this Agreement.
2. 5.2 You shall not during or at any time after the expiry or termination of this Agreement permit any act which infringes the trademarks used in connection with the Software.
3. 5.3 You shall indemnify PC Tools fully against all liabilities, costs and expenses which PC Tools may incur to a third party as a result of Your breach of this clause 5.
Term of License and Subscription
1. 6.1 This Agreement commences upon payment of the license fee (in the case of online downloads) or upon Your first installation and use of the Software (in the case of retail purchases or trialware) and may be terminated in the following circumstances:
  1. (a) if You are in breach of any term of this Agreement;
  2. (b) if You, being a corporation, become the subject of insolvency proceedings or have a liquidator, receiver or examiner appointed to You or become unable to pay Your debts;
  3. (c) if You, being a person rather than a company, become bankrupt;
  4. (d) if You, being a firm or partnership, are dissolved; or
  5. (e) if You destroy the Software and/or the Products for any reason.
2. 6.2 Upon termination, You or a representative nominated by You shall destroy any remaining copies of the Software and Products or otherwise return or dispose of such material in the manner directed by PC Tools.
3. 6.3 Termination pursuant to this clause shall not affect any rights or remedies which PC Tools may otherwise have under this Agreement or at law.
Export Restrictions
1. 7.1 PC Tools, its employees and its agents are subject to U.S. export control laws that prohibit or restrict (i) transactions with certain parties, and (ii) the type and level of technologies and services that may be exported. You agree to comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither the Software, nor any direct products thereof are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.
2. 7.2 None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Sudan, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's List of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions or General Orders. By downloading or using the Software, You are agreeing to the foregoing and You are representing and warranting that You are not located in, under the control of, or a national or resident of any such country or on any such list, and that You acknowledge You are responsible to obtain any necessary U.S. government authorization to ensure compliance with U.S. law.
Assignment
The benefit of this Agreement shall not be dealt with in any way by You (whether by assignment, sub-licensing or otherwise) without PC Tools' written consent and this Agreement shall be binding on Your successors and assigns.
Waiver
Failure or neglect by either party to enforce at any time any of the provisions of this license Agreement shall not be construed or deemed to be a waiver of that party's rights under this Agreement.
Amending These Terms
PC Tools may amend any of the terms of this Agreement by (a) providing written notice to You of such amendments by email, Product smart alert; and/or (b) displaying such amendments or an amended copy of this Agreement to You during Your installation and/or execution of the Software or on the PC Tools Website. Without limiting the methods by which You may be notified of such amended terms, You acknowledge and agree that Your ongoing use of the Software after the date You are notified of any such changes of this Agreement, will constitute Your acceptance of such amended terms

If You do not agree to any amendments made by PC Tools to the terms of this Agreement, then You must uninstall the Software from Your Device and cease any further use of the Software. In such circumstances, You may also contact PC Tools to determine if You are eligible for a refund or partial refund of any purchase price paid to PC Tools in respect of the Software (subject to any conditions which PC Tools may place in respect of paying such a refund).
Governing Law and Jurisdiction
If the parties to this Agreement (as determined by Clause 1.1 above) are You and PC Tools Pty Ltd ACN 108 759 208, then this Agreement shall be governed by and construed according to the laws in force in Victoria, Australia and You irrevocably submit to the exclusive jurisdiction of the Courts of the State of Victoria and the Commonwealth of Australia. If the parties to this Agreement are You and PC Tools Limited (Irish Company Number 426110) then this Agreement will be governed by and construed according to the laws in force in the Republic of Ireland and You irrevocably submit to the exclusive jurisdiction of the Courts of the Republic of Ireland.

Lisans

2. 1.2 PC Tools, bu Sözleşme ve aşağıda düzenlenen koşul ve şartlara uygun olarak Yazılımın kullanımını Size lisanslamayı kabul etmiştir.
3. 1.3 PC Tools aşağıdakileri yapmanız üzere Size münhasır olmayan, temlik edilemez, gayri kabili rücu bir lisans verir:
  - (a) Yazılımı yüklemek ve yürütmek;
  - (b) sadece yedekleme amaçları ile Yazılımın ek bir kopyasını oluşturmak ve
  - (c) Yazılımı söz konusu Yazılım için belirlenen abonelik süresi sırasında bu Sözleşmenin hükümlerine kesin bir şekilde uygun olarak kullanmak.
4. 1.4 Yazılımı yüklemeye ve çalıştırmaya yetkili olduğunuz Aygıt sayısı satın alma zamanında belirtilir. Yazılımı bu Aygıt sayısından daha fazla Aygıta yüklemek istiyorsanız, bunu ancak PC Tools'un yazılı onayının alınması ve PC Tools tarafından şart koşulan ek lisans ücretinin ödenmesi ile birlikte yapabilirsiniz.
5. 1.5 Yazılımı kullanmak üzere bu belge ile verilen lisansınız sadece PC Tools'tan satın aldığınız ya da yüklediğiniz Yazılım sürümünü kullanmanıza izin verir. Bazı ürünler Yazılımın otomatik güncellemeler, geliştirmeler ve iyileştirmelerini alma hakkınızı içerir ve bunlar takdiri PC Tools'a ait olmak üzere Size temin edilir. Söz konusu belirli ürün ile ilgili olarak PC Tools destek hizmetlerinden faydalanmak isterseniz, bazı ürünler daha yeni bir sürüme yükseltmenizi gerektirebilir. Bu yükseltmeler genellikle Size temin edilen aboneliğin parçası olarak sunulur ya da PC Tools ürün yaşam döngüsünün parçası olarak gerekli olabilir. Söz konusu bir güncelleme ya da iyileştirmeyi alırsanız, Yazılım otomatik olarak bu Sözleşme uyarınca Size lisanslanan Yazılımın bir parçası olarak addedilir. PC Tools ile Yazılım güncellemeleri ya da herhangi bir ürünün tedariki için münferit bir sözleşme akdederseniz, bu ürünler ve güncellemelerin kullanımı söz konusu münferit Sözleşmeye tabi olur.
6. 1.6 PC Tools'un Yazılımı korumak ve güncellemek üzere önerilerde bulunabileceğini, ancak belirli bir süre için Size güncellemelerde hak sahibi yapan bir abonelik veya münferit bir bakım sözleşmesi satın almadıysanız, bunu yapmak ile yükümlü olmadığını teyit edersiniz. Bu ürün için lisans satın aldığınızda bir abonelik dönemi belirtilmemişse, abonelik dönemi Yazılımı ilk satın aldığınız (çevrimiçi indirme durumunda) veya ilk yüklediğiniz (mağazadan satın alma durumunda) tarihten itibaren bir (1) senedir. 7. 1.7 Sizi güncellemelerde hak sahibi yapan bir abonelik veya münferit bir bakım sözleşmesi satın aldıysanız, belirli abonelik dönemi veya bakım döneminin sona ermesinden sonra yenileme veya yeni abonelik veya bakım sözleşmesi satın almadığınız sürece güncellemeleri almak üzere başkaca hakkınız olmadığını teyit edersiniz. Yeni bir abonelik ya da bakım sözleşmesi satın almadığınız takdirde PC Tools'un abonelik döneminin sona ermesi ile birlikte Yazılımın işlevselliğini sınırlayabileceğini kabul edersiniz.
Lisans Ücreti
1. 2.1 Yazılıma ilişkin olarak bir lisans ücretinin Sizin tarafınızdan ödenmesi gereken durumlarda lisans ücreti ödenene kadar Yazılımı kullanmaya yetkili olmazsınız ve bundan sonra da sadece abonelik dönemi boyunca Yazılımı kullanabilirsiniz (belirtildiği durumlarda). Kredi kartı ile ödemeniz halinde ödeme, kredi kartı ödemesi fatura tedarikçisi tarafından yetkili kılınana kadar ödenmiş addedilmez. Madde 1.4'te tanımlanan durumlarda münferit bir lisans ücretinin ödenmesi gerekir.
2. 2.2 Yazılımın ücretsiz ya da deneme sürümünü indiriyorsanız, bu sürümü bir ya da daha fazla aygıtta sınırsız süre (deneme sürümüne dahil edilmiş olabilen zaman ve/veya işlevsellik kısıtlamalarına tabi) için kullanabilirsiniz. Buna rağmen, lisans ücreti ödenene kadar Yazılım ile birlikte gelen gerek tam işlevselliği gerek teknik desteği almaya hak kazanmazsınız.
Lisans Sahibinin Yükümlülükleri
1. 3.1 Lisans sahibi olarak aşağıdaki yükümlülükleri üstlenirsiniz:
  - (a) Yedekleme ve güvenlik amaçları için Yazılımın geçici bir kopyasını yapmak hariç PC Tools'un açıkça onayı olmaksızın ve bu Sözleşme ile açıkça izin verilmedikçe ve geçerli mevzuat çerçevesindeki haklarınıza tabi olarak Yazılımı herhangi bir vesileyle ya da herhangi bir şekilde yazdırmamak, kopyalamamak, tekrar oluşturmamak, tercüme etmemek, uyarlamamak, değişmemek, Yazılımın üzerinde değişiklik yapmamak, değiştirmemek, tersine mühendislik yapmamak, derlemeyi açmamak ya da Yazılımı düzeltmemek;
  - ( (b) bu Sözleşmenin koşullarına uygun olarak Yazılımın kullanımını denetlemek ve kontrol etmek;
  - ( (c) Yazılıma erişimlerine izin verilen çalışanlarınızın, alt müteahhitlerinizin ve diğer aracıların bu Sözleşmenin koşullarından haberdar edilmelerini sağlamak;
  - ( (d) PC Tools'un yazılı onayı olmadan Yazılımı paragraf (c)'de atıfta bulunulanlardan başka bir kişiye herhangi bir şekilde temin etmemek ya da aksi takdirde sağlamak;
  - ( (e) Yazılımı herhangi bir başka kişiye herhangi bir şekilde vermemek, finansal kiralamamak, temlik etmemek, lisansını vermemek, alt lisansını vermemek, aktarmamak, dağıtmamak, ifşa etmemek, yaymamak ya da yayınlamamak veya bu eylemlerden birini yapmaya teşebbüs etmemek;
  - ( (f) Yazılımın mülkiyeti itibarıyla olan bildirileri ya da sair göstergeleri (telif hakkı bildirileri dahil) değişmemek, değiştirmemek, kaldırmamak ya da anlaşılmaz hale getirmemek;
  - ( (g) birden fazla kişisel bağımsız Aygıtta Yazılımı kullanmamak veya Yazılıma erişmemek ya da bu Sözleşme tarafından açıkça izin verilenden hariç herhangi bir zamanda birden fazla kullanıcı tarafından Yazılımın kullanılmasına veya erişilmesine aksi takdirde izin vermek;
  - ( (h) PC Tools'un Yazılımdaki fikri mülkiyet haklarına tecavüz eden eylemlere karışmamak ve
  - ( (i) Yazılımı; virüs imzası, virus bulma yordamları, kötü amaçlı kod veya verileri bulmak için sair veriler veya kodu oluşturmak için tasarlanan otomatik, yarı otomatik ya da manuel araçlarda kullanmamak.
2. 3.2 Madde 1 ile verilen Lisansın Sizi Yazılımın sahibi yapmadığını ve de Yazılımda mevcut bulunan herhangi bir telif ya da sair fikri ve sınai mülkiyet haklarının Size temlik ya da devrine sebebiyet vermediğini teyit edersiniz.
3. 3.3 Antivirüs Yazılımını lisansladıysanız, Yazılımın virüsler, casus yazılımlar, reklam yazılımları ve kötü amaçlı yazılımlar gibi kodları kaldırmaya çabalayacağını teyit edersiniz. Bazı durumlarda tespit edilen kodun kaldırılması, kodu ilk başta kuran ana yazılımı kullanma lisansını ihlal etmenizle ve ana programların işletimlerini durdurmasıyla sonuçlanabilir. Söz konusu program ile bağlantılı virüsler, casus yazılımları, reklam yazılımları ve kötü amaçlı yazılımların kaldırılmasına izin vermeden önce ana program lisans sözleşmesinin koşullarını dikkate almayı kabul edersiniz.
Garanti
1. 4.1 Yazılımın kesintisiz olamayacağını ve hatasız olarak garanti edilemeyeceğini teyit eder ve bundan başka söz konusu hataların mevcudiyetinin bu Sözleşmenin PC Tools tarafından ihlalini oluşturmayacağını teyit edersiniz. PC Tools, Yazılımın özellikle (i) tüm bilinen virüsleri, casus yazılımları, reklam yazılımlarını, kötü amaçlı yazılımları, Truva atlarını, tuş kaydedicilerini ve izleme yazılımlarını bulacağını ve/veya kaldıracağını veya Aygıtınızdaki tüm tarayıcı bulaşmaları ve izleme çerezlerinin yerini belirleyeceğini ya da Yazılımın bu virüsün bulaşmadığı sistem ya da dosyadaki virüsü arada bir sehven rapor edeceğini; (ii) Aygıtınızda mevcut tüm silinmemiş dosyaları iyileştireceğini ya da bulacağını; (iii) kötü niyetli web siteleri ya da muhtemel bilgisayar korsanları dahil Aygıtınızdaki tüm tehlikeleri engelleyeceğini; (iv) tüm spam veya istenmeyen postaları bulacağını ve/veya filtreleyeceğini veya (v) Windows kayıt dosyanızdaki hataları ya da sair işletme sistem hataları dahil ancak bunlarla dahil olmamak üzere Aygıtınızdaki hataları bulacağını, kaldıracağını veya düzelteceğini garanti etmez. Yazılım bir beta sürümüyse, (i) Yazılımın hata ve kusurlar içerebileceğini ve talimatlarına uygun şekilde veya kastedildiği gibi işleyemeyebileceğini teyit ve kabul edersiniz ve (ii) Yazılımın kullanımındaki tüm riskleri üstlenir ve Aygıtınızın sisteminde Yazılımı yükleme, çalıştırma ve sınamada gerekli özeni göstermeyi kabul edersiniz.
2. 4.2 Yazılımın üzerinde çalıştırılması için tasarlanan belirli işletim sistemi PC Tools tarafından çeşitli zamanlarda yayınlanır ("Uyumlu OS"). Yazılımı, Uyumlu OS'den başka bir işletim sisteminde çalıştırmamaya ya da Uyumlu OS'den başka bir işletim sistemine yüklememeyi kabul edersiniz. Uyumlu OS olmayan bir işletim sisteminde çalıştırıldığında Yazılımın gerektiği gibi çalışamayacağını ve sair yazılıma engel olabileceğini teyit ve kabul edersiniz.
3. 4.3 Hukuken muaf tutulamayan koşullar, şartlar, taahhütler ya da garantilerin yazılı, örf ve adet hukuku ya da benzeri tarafından ("Önceden Belirlenmiş Koşullar") bu Sözleşmeye ima edilmesi durumunda Önceden Belirlenmiş Koşullar, kanun tarafından izin verildiği ölçüde ve seçimi PC Tools'a ait olmak üzere Önceden Belirlenmiş Koşulların ihlalinden ötürü PC Tools'un sorumluluğu hariç aşağıdakilerin bir ya da daha fazlası ile sınırlanması hariç bu Sözleşmeye uygulanır:
  - (a) ihlalin ilgili olduğu Yazılımın ikamesi ya da denk Yazılımın tedariki;
  - (b) Yazılımın onarımı;
  - (c) Yazılımın ikame veya denk Yazılımın edinilmesinin masrafının ödenmesi veya
  - (d) Yazılımın onarılmasının masrafının ödenmesi.
4. 4.4 PC Tools'un Önceden Belirlenmiş Koşulları ihlal etmesinden ötürü sorumluluğu muaf tutulabiliyorsa, bu vesile ile kanun gereği izin verilen azami ölçüde muaf tutulurlar.
5. 4.5 Muaf tutulamayan ya da sınırlandırılamayan Önceden Belirlenmiş Koşullar (eğer varsa) tarafından sağlanan veya bu koşullarda açıkça düzenlenenler hariç:
  - (a) PC Tools, Yazılımın amaç veya performansına uygunluk itibariyle garantiler dahil (PC Tools'un bu Sözleşmede düzenlenen hakları Size vermeye yetkili olduklarından başka) Yazılım ile ilgili olarak hiçbir garantide bulunmaz;
  - (b) Yazılımın tedarik ya da kullanımından ya da bu koşulların ihlalinden kaynaklanan kayıp, zarar ya da yaralanma (kar kaybı, doğrudan ya da netice kabilinden kayıp, zarar ya da yaralanma dahil ancak bunlarla sınırlı olmamak üzere) için ya da itibarıyla PC Tools'a karşı herhangi bir dava ya da talep ya da iyileştirme hakkınız hiçbir surette olmaz ve
  - (c) yukarıdaki paragraf (b)'ye tabi olarak PC Tools'un bu Sözleşmenin ihlaline istinaden veya Yazılımını kullanımınıza istinaden aksi takdirde Size karşı azami sorumluluğu, PC Tools'a Yazılım için ödediğiniz tutardır ve PC Tools'a Yazılım için herhangi bir tutar ödemediyseniz, tutar 1 ABD$ (bir ABD doları) olur.
6. 4.6 PC Tools, bu Sözleşmenin ihlalinden kaynaklanan ya da Yazılımın tedarikinden kaynaklanan dolaylı ya da netice kabilinden zararlar için sorumlu olmaz.
7. 4.7 Yazılımı elde ederken bağımsız takdirinizi kullandığınızı ve bu Sözleşmede açıkça ifade edilmeyip ya da PC Tools tarafından oluşturulan katalog ya da kamuya açık materyaller dahil herhangi bir belgede ihtiva edilen tanımlar ya da açıklamalar ya da talimatlarda açıkça beyan edilmeyip de PC Tools tarafından yapılan beyanlara itibar etmediğinizi teyit edersiniz.
Telif Hakkı ve Ticari Markalar
1. 5.1 Yazılım ve tüm ilgili ürünlerin (Aygıt kullanma kılavuzları ve Aygıt Belgeleri dahil ancak bunlarla sınırlı olmamak üzere) ("Ürünler") telif hakkına tabi olduğunu teyit edersiniz. Bundan dolayı, bu Sözleşmenin sona ermesinden ya da feshinden sonra veya sona ermesi ya da feshi sırasında telif hakkını ihlal eden hiçbir eyleme ve yukarıda anılanların genelliğini sınırlamaksızın izin veremezsiniz. Yazılım veya Ürünleri bu Sözleşme ile aksi takdirde açıkça izin verildiği şekil hariç kopyalayamayacağınızı özellikle teyit edersiniz.
2. 5.2 Bu Sözleşmenin sona ermesinden ya da feshinden sonra veya sona ermesi ya da feshi sırasında Yazılım ile bağlantılı olarak kullanılan ticari markaları ihlal eden hiçbir eyleme izin veremezsiniz.
3. 5.3 Bu Madde 5'i ihlal etmenizin sonucu olarak PC Tools'un üçüncü bir tarafı maruz bıraktığı tüm sorumluluklar, masraflar ve giderler için PC Tools'u tamamen tazmin etmelisiniz.
Lisans ve Aboneliğin Süresi
1. 6.1 Bu Sözleşme, lisans ücretinin ödenmesi ile (çevrimiçi indirme durumunda) veya ilk yüklemeniz ile birlikte ve Yazılımı kullanmanızla (mağazadan satın alma ya da deneme sürümü durumunda) başlar ve müteakip durumlarda feshedilebilir:
  - (a) bu Sözleşmenin herhangi bir koşulunu ihlal ederseniz;
  - (b) bir şirket olarak aciz muamelelerine tabi olursanız ya da Size tahsis edilmiş bir tasfiye memuru, alıcı ya da denetçi varsa ya da borçlarınızı ödemekten aciz olursanız;
  - (c) bir şirketten ziyade gerçek bir kişi ve müflisseniz;
  - (d) bir firma ya da ortaklıksanız ve münfesihseniz ya da
  - (e) Yazılım ve/veya Ürünleri herhangi bir sebeple imha ederseniz.
2. 6.2 Fesih ile birlikte Siz veya Sizin tarafınızdan görevlendirilen bir temsilci Ürünler ve Yazılımın kalan kopyalarını imha etmeli veya söz konusu materyali PC Tools tarafından talimat edilen şekilde iade etmeli ya da elden çıkarmalısınız.
3. 6.3 bu Madde'ye müteakip fesih PC Tools'un bu Sözleşme veya kanun gereği sahip olabileceği hakları ya da çözüm yollarını etkilemez.
İhracat Kısıtlamaları
1. 7.1 PC Tools, çalışanları ve aracıları (i) belirli taraflar ile muameleleri ve (ii) ihraç edilebilen teknoloji ve hizmetlerin tür ve seviyesini yasaklayan ya da kısıtlayan ABD ihracat yasalarına tabidir. Yazılımın ya da Yazılıma ilişkin doğrudan ürünlerin (1) İhracat Yasalarına aykırı olarak doğrudan ya da dolaylı ihraç edilmediklerini veya (2) nükleer, kimyasal ya da biyolojik silahlar profilerasyonu dahil ancak bunlarla sınırlı olmamak üzere İhracat Yasaları tarafından yasaklanan amaçlar için kullanılmadığını garantilemek üzere Amerika Birleşik Devletleri ve sair ülkelerin (İhracat Yasaları) tüm yasa ve yönetmeliklerine tamamen uymayı kabul edersiniz.
2. 7.2 Yazılım ya da temelini oluşturan bilgiler ya da teknoloji (i) Küba, Kuzey Kore, İran, Sudan, Suriye ya da ABD'nin mallar hakkında ambargo uyguladığı hiçbir ülkeye (ya da bu ülkelerde mukim olan ya da bu ülkelerin vatandaşına) veya (ii) ABD Hazine Bakanlığı'nın Özellikle Belirtilen Vatandaşlar Listesindeki ya da ABD Ticaret Bakanlığı'nın Engellenen Kişiler Listesi, Doğrulanmamış Listesi, Varlık Listesi, Yayılmayı Önleme Yaptırımları ya da Genel Emirlerdeki herhangi bir kişiye indirilemez ya da sair şekilde ihraç ya da yeniden ihraç edilemez. Yazılımı indirmek ya da kullanmak suretiyle yukarıda anılanları kabul eder ve söz konusu liste ya da söz konusu ülkelerde bulunmadığınızı, bunların idaresi altında olmadığınızı ya da bunların mukim ya da vatandaşı olmadığınızı beyan ve garanti edersiniz ve ABD mevzuatı ile uyumu garanti etmek üzere gerekli ABD resmi izinlerini elde etmekten sorumlu olduğunuzu teyit edersiniz.
Temlik
Bu Sözleşmenin menfaati PC Tools'un yazılı onayı olmaksızın Sizin tarafınızdan (gerek temlik, alt lisansını verme ya da aksi takdirde) hiçbir surette idare edilemez ve bu Sözleşme halefleriniz ile temlik ettiğiniz kişileri de bağlar.
Feragat
Bu Sözleşmenin hükümlerinin taraflardan herhangi biri tarafından herhangi bir zamanda icra edilmesinin ihmal edilmesi ya da aksatılması, söz konusu tarafın bu lisans Sözleşmesi çerçevesindeki haklarından feragat etmesi olarak tefsir edilemez ya da addedilemez.
Bu Koşulların Değiştirilmesi
PC Tools bu Sözleşmenin koşullarını (a) söz konusu değişikliklere ilişkin olarak Size e-posta, Ürün akıllı uyarı yolu ile yazılı bildiri temin etmek suretiyle ve/veya (b) söz konusu değişiklikleri ya da bu Sözleşmenin değiştirilmiş bir kopyasını kurulumunuz ve/veya Yazılımının yürütülmesi esnasında ya da PC Tools web sitesinde görüntülemek suretiyle değiştirebilir. Söz konusu değiştirilen koşulların Size bildirilme yöntemlerini sınırlamaksızın bu Sözleşmenin söz konusu değişikliklerinin Size bildirildiği tarihten sonra Yazılımı süregelen kullanımınızın söz konusu değiştirilmiş koşulları kabulünüzü oluşturduğunu teyit ve kabul edersiniz.

PC Tools tarafından bu Sözleşmenin koşullarına ilişkin olarak yapılan değişiklikleri kabul etmiyorsanız, o zaman Yazılımı Aygıtınızdan kaldırmalı ve Yazılımın kullanımını durdurmalısınız. Söz konusu durumlarda Yazılıma istinaden PC Tools'a ödenmiş olan herhangi bir satın alma fiyatının kısmi iadesi ya da iadesi için (söz konusu iadeyi ödemek üzere PC Tools'un koyduğu şartlara tabi olarak) uygun olup olmadığınıza karar vermesi için PC Tools ile irtibata da geçebilirsiniz.
Tabi Olunan Hukuk ve Yetkili Mahkemeler
Bu Sözleşmenin tarafları (yukarıda yer alan Madde 1.1 ile kararlaştırıldığı üzere) Sizin ile PC Tools Pty Ltd ACN 108 759 208 ise, bu Sözleşme Avustralya, Victoria'da yürürlükte olan mevzuata tabi olur ve bu mevzuat uyarınca tefsir edilir ve Siz de gayri kabili rücu olarak Victoria Eyaleti ile Avustralya Federal Devleti'nin münhasır yargı yetkisine razı olursunuz. Bu Sözleşmenin tarafları Siz ile PC Tools Limited (İrlanda Şirketi Numarası 426110) ise, bu Sözleşme İrlanda'da yürürlükte olan mevzuata tabi olur ve bu mevzuat uyarınca tefsir edilir ve Siz de gayri kabili rücu olarak İrlanda Cumhuriyeti mahkemelerinin münhasır yargı yetkisine razı olursunuz.
