PC TOOLS END USER LICENSE AGREEMENT

NOTIFICATION: Permission to use this product (“Software”) is conditional upon you as the customer and licensee (“You”) agreeing to the terms set out below (this “Agreement”)

YOU WILL NOT BE ABLE TO INSTALL THE SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL THE TERMS OF THIS AGREEMENT BY CLICKING ON THE [“ I AGREE”] BUTTON. THIS WILL BE DEEMED TO BE YOUR AND YOUR EMPLOYEES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT AND YOU WILL BECOME THE LICENSEE OF THE SOFTWARE. PLEASE PRINT A COPY FOR YOUR RECORDS.

If You do not wish to accept the following terms do not select the [“I AGREE”] Button and the Software will not install on to Your computer, mobile or mobile computing device (“Device”). In circumstances where You purchase the Software without accepting the terms of this Agreement and wish to return the Software please contact PC Tools to determine whether You are eligible for a refund.

License
1. 1.1 If You are a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Australian Company, PC Tools Pty Ltd ACN 108 759 208 and the parties to this Agreement will be You and PC Tools Pty Ltd ACN 108 759 208. If You are not a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Irish Company, PC Tools Limited (Irish Company Number 426110) and the parties to this Agreement will be You and PC Tools Limited (Irish Company Number 426110). For the purposes of this Agreement, the licensor (being either PC Tools Limited or PC Tools Pty Ltd) will be referred to as "PC Tools". For the purposes of this Agreement, "Oceania" means American Samoa, Antarctica, Australia and its outside territories, including Heard Island & McDonald Islands, Cocos (Keeling) Islands, Christmas Island, Ashmore & Carter Islands, and Coral Sea Islands, Cook Islands, Fiji, French Polynesia, Guam, Kiribati, Marshall Islands, Federated States of Micronesia, Nauru, New Caledonia, New Zealand, Niue, Norfolk Island, Northern Mariana Islands, Palau, Papua New Guinea, Pitcairn Islands, Samoa, Solomon Islands, Tokelau, Tonga, Tuvalu, Vanuatu and Wallis and Futuna Islands.
2. 1.2 PC Tools has agreed to license use of the Software to You pursuant to this Agreement and the terms and conditions set out below.
3. 1.3 PC Tools grants to You a non-exclusive, non-transferable, revocable license to:
  - (a) install and execute the Software;
  - (b) make one additional copy of the Software for backup purposes only; and
  - (c) use the Software strictly in accordance with the provisions of this Agreement during the subscription period specified for that Software.
4. 1.4 The number of Devices on which You are entitled to install and execute the Software is specified at the time of purchase. If You wish to install the Software on more than this number of Devices, You may only do so upon receipt of written consent from PC Tools and upon payment of an additional license fee as stipulated by PC Tools.
5. 1.5 Your license to use the Software as granted herein only permits You to use the version of the Software which You have installed or purchased from PC Tools. Some products will include Your rights to receive automatic updates, enhancements and improvements of the Software and these will be provided to You by PC Tools at its sole discretion. Some products may require You to upgrade to a more recent version if You wish to avail Yourself of the support services by PC Tools in relation to that particular product. These upgrades are usually offered as part of the subscription provided to You or may be required as part of PC Tools product lifecycle. If You receive such an update or improvement, such Software shall automatically be deemed to be a part of the Software licensed to You under this Agreement. If You enter into a separate agreement with PC Tools for the supply of any other product or updates of the Software then such a separate Agreement will govern the use of those products and updates.
6. 1.6 You acknowledge that PC Tools may offer to maintain and update the Software but it is not obliged to do so unless You have purchased a subscription that entitles You to updates for a specified period, or You purchase a separate maintenance contract. If no subscription period is specified at the time You purchase a license for this product, the subscription period will be one (1) year from the date You either first purchased (in the case of online downloads) or first installed the Software (in the case of retail purchases). Should You wish to receive information about updates please view PC Tools website on a regular basis at www.pctools.com.
7. 1.7 If You have purchased a subscription that entitles You to updates, or You purchase a separate maintenan+-ce contract, You acknowledge that after the specified subscription period or maintenance period has expired, You have no further right to receive any updates without the purchase of a renewal or new subscription or maintenance contract. You also acknowledge that PC Tools may limit the functionality of the Software upon the expiry of any subscription period or maintenance period unless You purchase a new subscription or maintenance contract.
License Fee
1. 2.1 Where a license fee is payable by You in respect of the Software, You are not entitled to use the Software until the license fee has been paid and then only for the period of the subscription (where specified). In the case of payment by credit card, payment will not be deemed paid until the credit card payment has been authorized by the billing provider. A separate license fee is payable in the circumstances described in clause 1.4.
2. 2.2 However, You are not entitled to receive technical support nor the full functionality that comes with the Software until a license fee has been paid.
Licensee's Obligations
1. 3.1 As the Licensee You hereby undertake the following obligations:
  - (a) to not print, copy, reproduce, translate, adapt, vary, alter, change, reverse engineer, decompile or modify the Software by any means or in any other form, other than to make one temporary copy of the Software for back-up and security purposes, without the express consent of PC Tools, except as expressly authorized by this Agreement and subject to Your rights under applicable law;
  - (b) to supervise and control the use of the Software in accordance with the terms of this Agreement;
  - (c) to ensure Your employees, sub-contractors and other agents who have authorized access to the Software are made aware of the terms of this Agreement;
  - (d) to not provide or otherwise make available the Software in any form to any person other than those referred to in paragraph (c) without the written consent of PC Tools;
  - (e) to not give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate or publish the Software in any form to any other person or attempt to do any of these acts;
  - (f) to not alter, change, remove or obscure any notices or other indications (including copyright notices) as to ownership of the Software;
  - (g) not to access or use the Software on more than one personal stand-alone Device, or otherwise allow the Software to be accessed or used by more than one user at any one time except as expressly authorized by this Agreement;
  - (h) to not engage in any acts which infringe PC Tools intellectual property rights in the Software; and
  - (i) to not use the Software in automatic, semi-automatic or manual tools designed to create virus signatures, virus detection routines, any other data or code for detecting malicious code or data.
2. 3.2 You acknowledge that the License granted by clause 1 does not make You the owner of the Software nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property rights subsisting in the Software to You.
3. 3.3 If you have licensed antivirus Software, you acknowledge that the Software will seek to remove codes such as viruses, spyware, adware and malware. In some circumstances removal of detected code may result in You breaching a license to use the host software which originally installed the code and may result in host programs to cease operating. You agree to consult the terms of any license agreement for the host program before authorizing the removal of any viruses, spyware, adware or malware associated with that program.
Warranty
1. 4.1 You hereby acknowledge that the Software may not be uninterrupted and cannot be guaranteed error free and further acknowledge that the existence of any such errors shall not constitute a breach of this Agreement by PC Tools. In particular, PC Tools does not guarantee that the Software will (i) detect and/or remove all known viruses, spyware, adware, malware, Trojans, keyloggers and trackware, or locate all browser infections and tracking cookies on Your Device, nor that the Software will not occasionally erroneously report a virus in a file or system not infected by that virus; (ii) recover or detect all undeleted files which are present on Your Device; (iii) block all threats on Your Device, including from malicious websites or potential hackers; (iv) detect and/or filter all spam or junk email; or (v) detect, remove or rectify any errors on Your Device, including, without limitation any errors in Your Windows registry file or other operating system errors. If the Software is a beta version, You acknowledge and agree that (i) the Software may contain errors and defects and may not function as intended or in accordance with its specifications; and (ii) You assume all risk in using the Software and agree to take due care in the installation, execution and testing of the Software on Your Device’s system.
2. 4.2 The particular operating systems upon which the Software has been designed to execute will be published by PC Tools from time to time ("Compatible OS"). You agree that You will not execute or install the Software on any operating system other than a Compatible OS. You acknowledge and agree that the Software may not execute correctly and may interfere with other software if executed on an operating system which is not a Compatible OS.
3. 4.3 In the event that any terms, conditions, representations or warranties are implied by statute, common law or equity ("Prescribed Terms") into this Agreement which cannot be lawfully excluded, the Prescribed Terms will apply to this Agreement, save that the liability of PC Tools for breach of any Prescribed Terms will be limited, to the extent permitted by law, at the option of PC Tools, to any one or more of the following:
  - (a) the replacement of the Software to which the breach relates or the supply of equivalent Software;
  - (b) the repair of the Software;
  - (c) the payment of the cost of replacing the Software or of acquiring equivalent Software; or
  - (d) the payment of the cost of having the Software repaired.
4. 4.4 If the liability of PC Tools for breach of any Prescribed Terms is capable of exclusion, they are hereby excluded to the fullest extent permitted by law.
5. 4.5 Except as provided by the Prescribed Terms (if any), which are not capable of exclusion or limitation, or as expressly set out in these terms:
  - (a) PC Tools makes no warranties in relation to the Software, including warranties as to the performance or fitness for purpose of the Software (other than that PC Tools is entitled to grant to You the rights set out in this Agreement);
  - (b) You will not under any circumstances have any cause of action against, or right to claim or recover from, PC Tools for or in respect of any loss, damage or injury (including without limitation any loss of profit, indirect or consequential loss, damage or injury) arising from the supply or use of the Software or any breach of these terms; and
  - (c) subject to paragraph (b) above, the maximum liability of PC Tools to You in respect of any breach of this Agreement or otherwise in respect of Your use of the Software will be the amount You have paid PC Tools for the Software and if You have not paid PC Tools any amount for the Software, will be the amount of US $1 (one US dollar).
6. 4.6 PC Tools will not be liable for any indirect or consequential damages arising out of a breach of this Agreement or arising out of the supply of the Software.
7. 4.7 You acknowledge that You have exercised Your independent judgment in acquiring the Software and have not relied upon any representations made by PC Tools which have not been stated expressly in this Agreement or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material produced by PC Tools.
Copyright and Trade Marks
1. 5.1 You acknowledge that the Software and all related products (including but not limited to Device manuals and Device literature) ("Products") are the subject of copyright. You therefore, shall not during or any time after the expiry or termination of this Agreement, permit any act which infringes that copyright and, without limiting the generality of the foregoing, You specifically acknowledge that You may not copy the Software or Products except as otherwise expressly authorized by this Agreement.
2. 5.2 You shall not during or at any time after the expiry or termination of this Agreement permit any act which infringes the trademarks used in connection with the Software.
3. 5.3 You shall indemnify PC Tools fully against all liabilities, costs and expenses which PC Tools may incur to a third party as a result of Your breach of this clause 5.
Term of License and Subscription
1. 6.1 This Agreement commences upon payment of the license fee (in the case of online downloads) or upon Your first installation and use of the Software (in the case of retail purchases or trialware) and may be terminated in the following circumstances:
  1. (a) if You are in breach of any term of this Agreement;
  2. (b) if You, being a corporation, become the subject of insolvency proceedings or have a liquidator, receiver or examiner appointed to You or become unable to pay Your debts;
  3. (c) if You, being a person rather than a company, become bankrupt;
  4. (d) if You, being a firm or partnership, are dissolved; or
  5. (e) if You destroy the Software and/or the Products for any reason.
2. 6.2 Upon termination, You or a representative nominated by You shall destroy any remaining copies of the Software and Products or otherwise return or dispose of such material in the manner directed by PC Tools.
3. 6.3 Termination pursuant to this clause shall not affect any rights or remedies which PC Tools may otherwise have under this Agreement or at law.
Export Restrictions
1. 7.1 PC Tools, its employees and its agents are subject to U.S. export control laws that prohibit or restrict (i) transactions with certain parties, and (ii) the type and level of technologies and services that may be exported. You agree to comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither the Software, nor any direct products thereof are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.
2. 7.2 None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Sudan, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's List of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions or General Orders. By downloading or using the Software, You are agreeing to the foregoing and You are representing and warranting that You are not located in, under the control of, or a national or resident of any such country or on any such list, and that You acknowledge You are responsible to obtain any necessary U.S. government authorization to ensure compliance with U.S. law.
Assignment
The benefit of this Agreement shall not be dealt with in any way by You (whether by assignment, sub-licensing or otherwise) without PC Tools' written consent and this Agreement shall be binding on Your successors and assigns.
Waiver
Failure or neglect by either party to enforce at any time any of the provisions of this license Agreement shall not be construed or deemed to be a waiver of that party's rights under this Agreement.
Amending These Terms
PC Tools may amend any of the terms of this Agreement by (a) providing written notice to You of such amendments by email, Product smart alert; and/or (b) displaying such amendments or an amended copy of this Agreement to You during Your installation and/or execution of the Software or on the PC Tools Website. Without limiting the methods by which You may be notified of such amended terms, You acknowledge and agree that Your ongoing use of the Software after the date You are notified of any such changes of this Agreement, will constitute Your acceptance of such amended terms

If You do not agree to any amendments made by PC Tools to the terms of this Agreement, then You must uninstall the Software from Your Device and cease any further use of the Software. In such circumstances, You may also contact PC Tools to determine if You are eligible for a refund or partial refund of any purchase price paid to PC Tools in respect of the Software (subject to any conditions which PC Tools may place in respect of paying such a refund).
Governing Law and Jurisdiction
If the parties to this Agreement (as determined by Clause 1.1 above) are You and PC Tools Pty Ltd ACN 108 759 208, then this Agreement shall be governed by and construed according to the laws in force in Victoria, Australia and You irrevocably submit to the exclusive jurisdiction of the Courts of the State of Victoria and the Commonwealth of Australia. If the parties to this Agreement are You and PC Tools Limited (Irish Company Number 426110) then this Agreement will be governed by and construed according to the laws in force in the Republic of Ireland and You irrevocably submit to the exclusive jurisdiction of the Courts of the Republic of Ireland.

Licens
1. 1.1 Om Du är bosatt i Oceanien när du först köper eller först installerar Programvaran (beroende på vilket som inträffar först) är licensgivaren ett australiensiskt företag, PC Tools Pty Ltd ACN 108 759 208, och avtalsparterna blir följaktligen Du och PC Tools Pty Ltd ACN 108 759 208. Om Du inte är bosatt i Oceanien när du först köper eller först installerar Programvaran (beroende på vilket som inträffar först) är licensgivaren ett irländskt företag, PC Tools Limited (Irländskt företagsnummer: 426110), och avtalsparterna blir följaktligen Du och PC Tools Limited (Irländskt företagsnummer: 426110). I det här Avtalet kallas licensgivaren (oavsett om det är PC Tools Limited eller PC Tools Pty Ltd)"PC Tools". 2. 1.2 PC Tools samtycker till att licensiera användningen av Programvaran till Dig enligt Avtalet och nedan angivna villkor.
3. 1.3 PC Tools beviljar Dig en licens som är icke-exklusiv, som inte kan överlåtas och som kan dras in, vilken ger dig rätt att
  - (a) installera och köra Programvaran,
  - (b) skapa en ytterligare kopia av Programvaran som enbart får användas som säkerhetskopia och
  - (c) använda Programvaran strikt enligt bestämmelserna i Avtalet under den prenumerationsperiod som anges för Programvaran.
4. 1.4 Det antal enheter du har rätt att installera och köra Programvaran på anges vid tidpunkten för inköpet. Om Du vill installera Programvaran på fler än det angivna antalet Enheter måste Du först inhämta skriftligt samtycke från PC Tools och betala en ytterligare licensavgift som fastställs av PC Tools.
5. 1.5 Licensen att använda Programvaran som Du beviljas genom Avtalet ger Dig endast rätt att använda den version av Programvaran som Du har installerat eller köpt från PC Tools. En del produkter ger dig även rätt till automatiska uppdateringar och förbättringar av Programvaran, vilka PC Tools tillhandahåller efter eget gottfinnande. En del produkter kräver att Du uppgraderar till en nyare version, om Du vill utnyttja de supporttjänster PC Tools tillhandahåller för de produkterna. Uppgraderingarna erbjuds i regel som en del av Din prenumeration eller kan krävas som en del av PC Tools-produktens livscykel. Om Du får en uppdatering eller förbättring av den här typen anses den Programvaran automatiskt utgöra en del av Programvaran Du licensieras enligt Avtalet. Om Du ingår ett separat avtal med PC Tools för någon annan produkt eller uppdateringar av Programvaran regleras användningen av de produkterna eller uppdateringarna av det separata Avtalet.
6. 1.6 Du godkänner att PC Tools kan erbjuda sig att underhålla och uppdatera Programvaran, men inte är skyldigt att göra det, såvida Du inte köpt en prenumeration som ger Dig rätt till uppdateringar under en angiven tidsperiod eller köper ett separat underhållsavtal. Om ingen prenumerationsperiod anges när Du köper en licens för produkten är prenumerationsperioden ett (1) år från det datum då Du först köper (om det gäller nedladdningar via Internet) eller först installerar (om det gäller köp via återförsäljare) Programvaran. Besök gärna regelbundet PC Tools webbplats på www.pctools.com om Du vill få information om uppdateringar.
7. 1.7 Om Du har köpt en prenumeration som ger Dig rätt till uppdateringar eller köper ett separat underhållsavtal, godkänner Du att Du efter det att den angivna prenumerationsperioden eller underhållsperioden har gått ut inte längre har rätt till några uppdateringar, såvida Du inte förnyar prenumerationen eller köper ett nytt prenumerationsavtal eller underhållsavtal. Du godkänner även att PC Tools har rätt att begränsa Programvarans funktionalitet när en prenumerationsperiod eller underhållsperiod går ut, såvida Du inte köper ett nytt prenumerationsavtal eller underhållsavtal.
Licensavgift
1. 2.1 Om det finns en licensavgift som ska betalas av Dig för Programvaran har Du inte rätt att använda Programvaran förrän licensavgiften har betalats och då endast under prenumerationsperioden (om sådan angetts). Om Du betalar med kreditkort anses betalningen inte genomförd förrän kreditkortsbetalningen har auktoriserats av den fakturerande parten. En separat licensavgift ska betalas under de omständigheter som beskrivs i punkt 1.4.
2. 2.2 Om Du laddar ner en kostnadsfri version eller en testversion av Programvaran har Du rätt att använda den på en eller flera Enheter under en obegränsad tidsperiod (med förbehåll för eventuella tidsbegränsningar och/eller funktionalitetsbegränsningar som kan gälla för testversionen). Du är emellertid inte berättigad till teknisk support och heller inte till Programvarans fullständiga funktionalitet förrän licensavgiften har betalts.
Licenstagarens skyldigheter
1. 3.1 Som Licenstagare åtar Du Dig härmed följande skyldigheter:
  - (a) att inte skriva ut, kopiera, reproducera, översätta, anpassa, ändra, ingenjörsmässigt analysera, dekompilera eller modifiera Programvaran på något sätt eller i någon form, annat än för att göra en tillfällig kopia av Programvaran i säkerhetskopieringssyfte och för säkerhetsändamål, utan PC Tools uttryckliga samtycke, om det inte uttryckligen är tillåtet enligt Avtalet och med förbehåll för Dina rättigheter enligt gällande lag,
  - (b) att övervaka och kontrollera användningen av Programvaran i enlighet med villkoren i Avtalet,
  - (c) att se till att Dina anställda, underleverantörer och andra ombud som har behörig åtkomst till Programvaran informeras om villkoren i Avtalet,
  - (d) att inte tillhandahålla eller på annat sätt tillgängliggöra Programvaran i någon form till någon annan person än de som anges i paragraf (c) utan PC Tools skriftliga samtycke,
  - (e) att inte ge, leasa, tilldela, licensiera, underlicensiera, överföra, distribuera, röja, sprida eller publicera Programvaran i någon form till någon annan person eller försöka att utföra någon av dessa handlingar,
  - (f) att inte ändra, ta bort eller dölja några meddelanden eller andra indikationer (inklusive upphovsrättsmeddelanden) vad gäller äganderätten till Programvaran,
  - (g) att inte bereda Dig åtkomst till eller använda Programvaran på mer än en personlig fristående Enhet eller på annat sätt tillåta att mer än en användare i taget kommer åt Programvaran, med förbehåll för vad som uttryckligen är tillåtet enligt Avtalet,
  - (h) att inte på något sätt göra intrång på PC Tools immateriella rättigheter i Programvaran och
  - (i) att inte använda Programvaran i automatiska, halvautomatiska eller manuella verktyg som är avsedda att skapa virussignaturer, virusdetekteringsrutiner eller några andra data eller kod för att upptäcka skadlig kod eller data.
2. 3.2 Du godkänner att Licensen som beviljas genom punkt 1 inte gör Dig till ägare till Programvaran och heller inte innebär någon överföring eller överlåtelse av några upphovsrättigheter eller andra immateriella rättiigheter eller industriella äganderättigheter till Programvaran till Dig.
3. 3.3 Om Programvaran Du har licensierat är ett antivirusprogram godkänner Du att Programvaran försöker ta bort kod som virus, spionprogram, reklamprogram och skadliga program. Under vissa omständigheter kan borttagning av upptäckt kod medföra att Du bryter mot en licens att använda värdprogrammet som ursprungligen installerade koden, vilket kan leda till att värdprogrammet slutar att fungera. Du samtycker till att kontrollera villkoren för det licensavtal som gäller för värdprogrammet innan du godkänner borttagningen av eventuella virus, spionprogram, reklamprogram eller skadliga program som är kopplade till värdprogrammet.
Garanti
1. 4.1 Du accepterar härmed att Programvaran eventuellt inte kommer att fungera utan avbrott och att inga garantier ges för att Programvaran är felfri. Du accepterar även att förekomsten av sådana fel inte utgör ett brott mot Avtalet från PC Tools sida. Framförallt garanterar PC Tools inte att Programvaran (i) upptäcker och/eller tar bort alla kända virus, spionprogram, reklamprogram, skadliga program, trojaner, tangentloggningsprogram och spårningsprogram eller hittar alla angrepp på webbläsare och spårningscookies på Din Enhet eller att Programvaran inte då och då felaktigt rapporterar om ett virus i en fil eller ett system som inte är angripet av viruset i fråga, (ii) återställer eller upptäcker alla filer som inte tagits bort och som finns på Din Enhet, (iii) blockerar alla hot på Din Enhet, inklusive från skadliga webbplatser eller potentiella hackare, (iv) upptäcker och/eller filtrerar all skräppost eller (v) upptäcker, tar bort eller korrigerar eventuella fel på Din Enhet, inklusive, men inte begränsat till, eventuella fel i Din Windows-registerfil eller andra operativsystemsfel. Om Programvaran är en betaversion godkänner Du att (i) Programvaran kan innehålla fel och defekter och eventuellt inte fungerar som avsett eller i enlighet med sina specifikationer och att (ii) Du använder Programvaran helt på egen risk och samtycker till att vidta lämpliga åtgärder vid installationen, körningen och testningen av Programvaran på Din Enhets system.
2. 4.2 PC Tools kommer då och då att publicera information om på vilka operativsystem Programvaran är avsedd att köras("Kompatibelt operativsystem"). Du samtycker till att endast köra eller installera Programvaran på ett operativsystem som är ett Kompatibelt operativsystem. Du accepterar och är införstådd med att Programvaran eventuellt inte fungerar korrekt och kan påverka annan programvara om den körs på ett operativsystem som inte är ett Kompatibelt operativsystem.
3. 4.3 Om det förekommer villkor, utfästelser eller garantier som är underförstådda enligt lag, common law eller praxis("Föreskrivna villkor") som inte lagligen kan uteslutas i Avtalet ska dessa Föreskrivna villkor gälla för Avtalet, förutsatt att PC Tools ansvar för brott mot Föreskrivna villkor begränsas, i den mån det är tillåtet enligt lag, enligt PC Tools val, till ett eller flera av följande alternativ:
  - (a) ersättning av den Programvara som brottet berör eller tillhandahållande av motsvarande Programvara,
  - (b) reparation av Programvaran,
  - (c) betalning av kostnaden för att ersätta Programvaran eller anskaffa motsvarande Programvara eller
  - (d) betalning av kostnaden för att få Programvaran reparerad.
4. 4.4 Om PC Tools ansvar för brott mot något Föreskrivet villkor kan uteslutas, friskriver sig PC Tools härmed från det i den största möjliga mån som lagen tillåter.
5. 4.5 Med undantag för vad som anges i de Föreskrivna villkoren (i förekommande fall), vilka inte kan uteslutas eller begränsas, eller vad som uttryckligen anges i de här villkoren:
  - (a) lämnar PC Tools inga garantier i samband med Programvaran, vilket inkluderar garantier om Programvarans prestanda eller lämplighet för ett visst ändamål (annat än att PC Tools är berättigad att bevilja Dig de rättigheter som anges i Avtalet),
  - (b) kommer Du under inga omständigheter att väcka talan mot, och har heller inte rätt att kräva eller erhålla ersättning från PC Tools, för någon förlust, skada eller personskada (inklusive, men inte begränsat till, förlust av vinst eller förlust, skada eller personskada som uppstår indirekt eller som ett resultat) till följd av tillhandahållandet eller användningen av Programvaran eller för något brott mot de här villkoren och
  - (c) med förbehåll för vad som anges i paragraf (b) ovan begränsas PC Tools skadeståndsskyldighet gentemot Dig för brott mot Avtalet eller på annat sätt i samband med Din användning av Programvaran till högst det belopp Du har betalat PC Tools för Programvaran, och om Du inte har betalat PC Tools någonting för Programvaran begränsas beloppet till 1 USD (en amerikansk dollar).
6. 4.6 PC Tools ansvarar inte för indirekta skador eller följdskador till följd av ett brott mot Avtalet eller till följd av tillhandahållandet av Programvaran.
7. 4.7 Du intygar att Du använde Ditt eget omdöme när Du förvärvade Programvaran och inte förlitade Dig på utfästelser från PC Tools som inte uttryckligen angetts i Avtalet eller på beskrivningar eller illustrationer eller specifikationer i något dokument, vilket även omfattar kataloger eller reklammaterial som producerats av PC Tools.
Upphovsrätt och varumärken
1. 5.1 Du är införstådd med att Programvaran och alla tillhörande produkter (inklusive, men inte begränsat till, handböcker för och dokumentation om Enheter) (”Produkter”) omfattas av upphovsrätt. Du får därför inte, vare sig så länge Avtalet gäller eller efter det att Avtalet upphört eller sagts upp, tillåta någon handling som gör intrång på upphovsrätten, och Du är framförallt införstådd med, utan att detta begränsar giltigheten i vad som angivits ovan, att Du inte har rätt att kopiera Programvaran eller Produkterna såvida inte annat uttryckligen anges i Avtalet.
2. 5.2 Du får inte, vare sig så länge Avtalet gäller eller efter det att Avtalet upphört eller sagts upp, tillåta någon handling som gör intrång på varumärkena som används i samband med Programvaran.
3. 5.3 Du ska hålla PC Tools fullständigt skadelöst avseende skadestånd, kostnader och utgifter som PC Tools kan åsamkas gentemot en tredje part till följd av Ditt brott mot denna punkt 5.
Lisans ve Aboneliğin Süresi
1. 6.1 Avtalet träder i kraft när licensavgiften betalas (om det gäller nedladdningar via Internet) eller när Du först installerar och använder Programvaran (om det gäller inköp via återförsäljare eller testversioner) och kan sägas upp under följande omständigheter
  - (a) om Du bryter mot något villkor i Avtalet,
  - (b) om Du, i egenskap av företag, blir föremål för insolvensförfaranden eller får en förvaltare, konkursförvaltare eller granskare utsedd eller blir oförmögen att betala Dina skulder,
  - (c) Om Du går i konkurs och är en person (inte företag),
  - (d) Om Du, i egenskap av bolag eller sammanslutning, upplöses eller
  - (e) om Du av någon anledning förstör Programvaran och/eller Produkterna.
2. 6.2 Om Avtalet sägs upp ska Du eller en representant som Du utser förstöra alla exemplar av Programvaran och Produkterna eller på annat sätt returnera eller göra Dig av med Programvaran och Produkterna på det sätt som PC Tools ger instruktioner om.
3. 6.3 Uppsägning enligt denna punkt påverkar inte några rättigheter eller möjligheter att söka kompensation som PC Tools annars kan ha enligt Avtalet eller lagen.
Exportbegränsningar
1. 7.1 PC Tools, dess anställda och dess ombud måste följa amerikanska lagar om exportkontroll som förbjuder eller begränsar (i) transaktioner med vissa parter och (ii) typen av och nivån på den teknik och de tjänster som kan exporteras. Du samtycker till att följa alla amerikanska och övriga länders lagar och andra författningar (Exportlagar) för att säkerställa att varken Programvaran eller några direkta produkter därav (1) exporteras, direkt eller indirekt, i strid med Exportlagarna eller (2) används för något ändamål som är förbjudet enligt Exportlagarna, inklusive, men inte begränsat till, spridning av kärnvapen, kemiska vapen eller biologiska vapen.
2. 7.2 Ingen del av Programvaran eller underliggande information eller teknik får laddas ner eller på annat sätt exporteras eller återexporteras (i) till (eller till en person som är medborgare eller bosatt i) Kuba, Nordkorea, Iran, Sudan, Syrien eller något annat land till vilket USA har varuembargo eller (ii) till någon person eller enhet som finns på följande listor: U.S. Treasury Department's List of Specially Designated Nationals, U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions eller General Orders. Genom att ladda ner eller använda Programvaran samtycker Du till ovanstående och försäkrar och garanterar att Du inte befinner Dig i, lyder under eller är medborgare eller bosatt i något av de här länderna eller finns på någon av de här listorna, och Du accepterar även att Du själv ansvarar för att inhämta nödvändiga tillstånd från den amerikanska statsförvaltningen så att Du inte bryter mot amerikansk lag.
Överlåtelse
Du har inte rätt att på något sätt dela med Dig av förmånerna av Avtalet (vare sig genom överlåtelse, underlicensiering eller på annat sätt) utan PC Tools skriftliga samtycke, och Avtalet är bindande för Dina efterträdare eller övertagare.
Avsägelse
Oförmåga eller underlåtelse av någon av parterna att vid något tillfälle göra någon av bestämmelserna i licensavtalet gällande ska inte tolkas som eller anses utgöra en avsägelse av rättigheter som den parten har enligt Avtalet.
Tillägg till villkoren
PC Tools kan göra tillägg till villkoren i Avtalet genom att (a) skriftligen meddela Dig om tilläggen via e-post, Product smart alert, och/eller (b) visa Dig tilläggen eller ett exemplar av Avtalet med tillagda tillägg under installationen och/eller körningen av Programvaran eller på PC Tools webbplats. Du godkänner och samtycker till att Din fortsatta användning av Programvaran efter det datum då Du informeras om tillägg till Avtalet, oavsett på vilket sätt Du informeras om tilläggen, utgör Ditt godkännande av de tillagda villkoren.

Om Du inte accepterar tilläggen som PC Tools gör till villkoren i Avtalet måste Du avinstallera Programvaran från Din Enhet och sluta att använda Programvaran. Under sådana omständigheter kan Du även kontakta PC Tools för att kontrollera om Du är berättigad till en återbetalning eller delvis återbetalning av inköpssumman som Du har betalat till PC Tools för Programvaran (med förbehåll för de villkor som PC Tools eventuellt ställer för att göra en återbetalning).
Gällande lagar och domsrätt
Om parterna i Avtalet (vilka fastställs i punkt 1.1 ovan) är Du och PC Tools Pty Ltd ACN 108 759 208 ska Avtalet regleras av och tolkas enligt de lagar som gäller i Victoria, Australien, och Du samtycker oåterkalleligen till att domstolarna i delstaten Victoria och Australiska statsförbundet har exklusiv jurisdiktion. Om parterna i Avtalet är Du och PC Tools Limited (Irländskt företagsnummer: 426110) ska Avtalet regleras av och tolkas enligt de lagar som gäller i Republiken Irland, och Du samtycker oåterkalleligen till att domstolarna i Republiken Irland har exklusiv jurisdiktion.
