every time i fdisk there is 96mb left that wont clear, so around 38gb only is formatted .why is this can i do any thing about it? im on win 98 se 40gb hardrive athon850 256of ram

where does this 96MB show up ? Is it just your own calculation between the formatted capacity you see in Windows and the 40GB nominal value of your disk ?
Nominal values are often used by manufactures to give the raw capacity of a drive, while logical formatting will depend on the operating system and will leave you with somewhat less then maximum capacity. If you check the documentation that is included with the drive (check the manufacturers web site), you will see this mentioned.
That's harddisk manufacturers standard procedure, cause they cannot know how their hardware will be used.

1 manufacturer's gigabytes = 1000x1000 bytes = 1,000,000 bytes
1 true gigabyte = 1024x1024 bytes = 1,048,576 bytes.
therefore 40 manufaturers gigabytes = 38.15 true gigabytes.

iv got a little way with it ,fdisk.exe has been mentioned.but its a maxtor true 40,gb 96mb is recognised as drive 2 no access denied .dont ask me what drive 2 is ?and partioning does nt correct anything .when i first had the the drive it was partioned 20gb-20gb. well im not sure how explain.someone told me there is software called driveoff which will get rid off it.pherhaps it is a compressed volume that wont go.
