For your modem: remove any protocols other than TCP/IP and check bindings for it as well
Unless you are running all NT machines dump netbuei
If these suggestions dont work try uninstalling both cards and reinstall the network card first....could be a driver conflict or network card is overwriting files or defective.
(what brand/model?, what OS?, be as specific as possible when posting..will help "us" out in helping you.
Good luck

Only thing I can think of is a IRQ conflict, try moving the modem to another PCI slot, you might have to keep trying in every slot until one works.

Try going into the Network properties and bring up the network adpater properties.
Unbind the TCP/IP and just use IPX/SPX for your home network...

Sounds like an IRQ conflict is going on. If you are on 56k dialup why do you need a NIC? You may want to try going to different PCI slots with the modem or even the NIC to see if the problem goes away. You may want to consider going to dls or cable modem then you can do away with the 56k modem car all together.
