Have a look at this registry tweak Disable Windows File Protection. Once you have disabled it and replaced your file, you can always turn it back on.

In the Edit DWORD Value dialog box, after you double-click the value, do you have "Base" set to "Hexadecimal"?

You should only be typing in "ffffff9d" in the edit box, the "0x" just represents that it's a hexadecimal value. You could also try changing the base to decimal and setting the value to "4294967197".

If the previous suggestions don't work you can boot to the Restore Console (Win2K Rulz!!). Once you are logged in normally (probably as Admin) insert your Win2K CD and run the following line from your favorite place (Run, or DOS if you're really neat!).
\i386\winnt32.exe /cmdcons
This installs an emergency-restore console which is then added to your boot options when W2K boots. (Windows 2000, Windows 2000 Workstation, and now Restore Console). This does require Administrator login and only gives you DOS-like access to the computer. Also, if your system uses SYSKEY protection you will need that password as well. Once you're inside the machine at this low level you can copy files regardless of NTFS permissions because most of them aren't used, and the others are controlled already by the Administrator user. Hope this helps you out! :-)
