Can anyone pls tell me how to disable 'My Network Places' without uninstalling File and Printer Sharing on my network?

I don't think you can. And can't think of a reason when you would need to disable it.
At the school that I often work at, the only place that the students can add are other student's files. And on completion of adding the place (SERVERNAME\USERNAME$) they are presented with a logon and password box.
If this is a security issue, you should find another way around this. If this is for "cosmetic" reasons, then I don't think you can remove it.
