Did you restart your computer?

Wouldn't hurt. It sounds like the installation didn't finalize.

OK, see if this fix solves the problem.

It's been over 10 years since I had anything to do with WIN95. Do you know whether or not it can be clean installed? Or do you have to reformat, re-install Win 3.2 and then upgrade to WIN95? One other thing to check is the condition of the WIN95 CD. Is it scratched? I had an XP Home CD that was scratched and scuffed to the extent that it wouldn't complete the installation process. I had to by a new retail disk.

For what it's worth, Win95B and 95C were not available as Upgrades or in the Retail channels, only as an OEM version, and wouldn't upgrade Windows 3.11 or Windows for Workgroups 3.11 and earlier. Seems it had to do with the 'new' FAT32 support, guess Microsoft was afraid of letting end-users get ahold of it. If the CD has a brand name on it such as Dell, Gateway, HP, etc., it probably will install only on that brand computer and maybe only on certain models.

Try disconnecting all the devices attached to the computer except for the graphics card, hard disk, monitor, mouse and keyboard and boot the computer...

Do you have an AMD processor?

Good question, Mono, I just installed Win95B on a computer and it wouldn't take the AMD K6-2/550MHz CPU but works fine with the AMD K6-2/266MHz CPU. I then recalled there was a problem with the AMD 350MHz and faster so I dug into the 'net and found an explanation:
http://www.microsoft.com/windows95/downloads/contents/WURecommended/S_WUServicePacks/AMDPatch/Default.asp (http://www.theregister.co.uk/1998/11/17/updated_amd_k62s_crash/>http://www.theregister.co.uk/1998/11/17/updated_amd_k62s_crash/
Also).
I didn't notice his CPU mentioned on his other post either but that could explain it.

Actually, i have a Pentium 4 with hyper threading. could the hyper threading be causing this problem in anyway?

It's entirely possible, don't think Win9x supports it. Can that be turned off in the BIOS?
This is a case of older-is-better.

Why install Win95?

win 95 has no support for HT witch is why on boot up it doesn't know what to do cuple of options if you have the option of disabling the HT in the bios or downgrading to a non HT chip like a P4 2.4 or 2.66 you should not have to switch boards or anything and still be able to work with Win95 if that is the OS you need other option is to go to Win 98 witch I belive would support HT and no it will still be compatible to win 95
