Disabling "shut-down" (All)

I've seen multiple variants to disable the "shut down" button; but I need it to go a step further.

I don't want my users to be able to shut down their PC's, but I do want them to have the capability to reboot.

Is there anyway to gray out or disable the shut down function? I even saw one tweak that let you customize the shut down/logoff sceneriors; yet that didn't do anything...

first thought is to create a batchfile that runs a file called shutdown.exe with the /R switch. Lastly you may put it all together with group policy!
