PC TOOLS END USER LICENSE AGREEMENT

NOTIFICATION: Permission to use this product (“Software”) is conditional upon you as the customer and licensee (“You”) agreeing to the terms set out below (this “Agreement”)

YOU WILL NOT BE ABLE TO INSTALL THE SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL THE TERMS OF THIS AGREEMENT BY CLICKING ON THE [“ I AGREE”] BUTTON. THIS WILL BE DEEMED TO BE YOUR AND YOUR EMPLOYEES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT AND YOU WILL BECOME THE LICENSEE OF THE SOFTWARE. PLEASE PRINT A COPY FOR YOUR RECORDS.

If You do not wish to accept the following terms do not select the [“I AGREE”] Button and the Software will not install on to Your computer, mobile or mobile computing device (“Device”). In circumstances where You purchase the Software without accepting the terms of this Agreement and wish to return the Software please contact PC Tools to determine whether You are eligible for a refund.

License
1. 1.1 If You are a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Australian Company, PC Tools Pty Ltd ACN 108 759 208 and the parties to this Agreement will be You and PC Tools Pty Ltd ACN 108 759 208. If You are not a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Irish Company, PC Tools Limited (Irish Company Number 426110) and the parties to this Agreement will be You and PC Tools Limited (Irish Company Number 426110). For the purposes of this Agreement, the licensor (being either PC Tools Limited or PC Tools Pty Ltd) will be referred to as "PC Tools". For the purposes of this Agreement, "Oceania" means American Samoa, Antarctica, Australia and its outside territories, including Heard Island & McDonald Islands, Cocos (Keeling) Islands, Christmas Island, Ashmore & Carter Islands, and Coral Sea Islands, Cook Islands, Fiji, French Polynesia, Guam, Kiribati, Marshall Islands, Federated States of Micronesia, Nauru, New Caledonia, New Zealand, Niue, Norfolk Island, Northern Mariana Islands, Palau, Papua New Guinea, Pitcairn Islands, Samoa, Solomon Islands, Tokelau, Tonga, Tuvalu, Vanuatu and Wallis and Futuna Islands.
2. 1.2 PC Tools has agreed to license use of the Software to You pursuant to this Agreement and the terms and conditions set out below.
3. 1.3 PC Tools grants to You a non-exclusive, non-transferable, revocable license to:
  - (a) install and execute the Software;
  - (b) make one additional copy of the Software for backup purposes only; and
  - (c) use the Software strictly in accordance with the provisions of this Agreement during the subscription period specified for that Software.
4. 1.4 The number of Devices on which You are entitled to install and execute the Software is specified at the time of purchase. If You wish to install the Software on more than this number of Devices, You may only do so upon receipt of written consent from PC Tools and upon payment of an additional license fee as stipulated by PC Tools.
5. 1.5 Your license to use the Software as granted herein only permits You to use the version of the Software which You have installed or purchased from PC Tools. Some products will include Your rights to receive automatic updates, enhancements and improvements of the Software and these will be provided to You by PC Tools at its sole discretion. Some products may require You to upgrade to a more recent version if You wish to avail Yourself of the support services by PC Tools in relation to that particular product. These upgrades are usually offered as part of the subscription provided to You or may be required as part of PC Tools product lifecycle. If You receive such an update or improvement, such Software shall automatically be deemed to be a part of the Software licensed to You under this Agreement. If You enter into a separate agreement with PC Tools for the supply of any other product or updates of the Software then such a separate Agreement will govern the use of those products and updates.
6. 1.6 You acknowledge that PC Tools may offer to maintain and update the Software but it is not obliged to do so unless You have purchased a subscription that entitles You to updates for a specified period, or You purchase a separate maintenance contract. If no subscription period is specified at the time You purchase a license for this product, the subscription period will be one (1) year from the date You either first purchased (in the case of online downloads) or first installed the Software (in the case of retail purchases). Should You wish to receive information about updates please view PC Tools website on a regular basis at www.pctools.com.
7. 1.7 If You have purchased a subscription that entitles You to updates, or You purchase a separate maintenan+-ce contract, You acknowledge that after the specified subscription period or maintenance period has expired, You have no further right to receive any updates without the purchase of a renewal or new subscription or maintenance contract. You also acknowledge that PC Tools may limit the functionality of the Software upon the expiry of any subscription period or maintenance period unless You purchase a new subscription or maintenance contract.
License Fee
1. 2.1 Where a license fee is payable by You in respect of the Software, You are not entitled to use the Software until the license fee has been paid and then only for the period of the subscription (where specified). In the case of payment by credit card, payment will not be deemed paid until the credit card payment has been authorized by the billing provider. A separate license fee is payable in the circumstances described in clause 1.4.
2. 2.2 However, You are not entitled to receive technical support nor the full functionality that comes with the Software until a license fee has been paid.
Licensee's Obligations
1. 3.1 As the Licensee You hereby undertake the following obligations:
  - (a) to not print, copy, reproduce, translate, adapt, vary, alter, change, reverse engineer, decompile or modify the Software by any means or in any other form, other than to make one temporary copy of the Software for back-up and security purposes, without the express consent of PC Tools, except as expressly authorized by this Agreement and subject to Your rights under applicable law;
  - (b) to supervise and control the use of the Software in accordance with the terms of this Agreement;
  - (c) to ensure Your employees, sub-contractors and other agents who have authorized access to the Software are made aware of the terms of this Agreement;
  - (d) to not provide or otherwise make available the Software in any form to any person other than those referred to in paragraph (c) without the written consent of PC Tools;
  - (e) to not give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate or publish the Software in any form to any other person or attempt to do any of these acts;
  - (f) to not alter, change, remove or obscure any notices or other indications (including copyright notices) as to ownership of the Software;
  - (g) not to access or use the Software on more than one personal stand-alone Device, or otherwise allow the Software to be accessed or used by more than one user at any one time except as expressly authorized by this Agreement;
  - (h) to not engage in any acts which infringe PC Tools intellectual property rights in the Software; and
  - (i) to not use the Software in automatic, semi-automatic or manual tools designed to create virus signatures, virus detection routines, any other data or code for detecting malicious code or data.
2. 3.2 You acknowledge that the License granted by clause 1 does not make You the owner of the Software nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property rights subsisting in the Software to You.
3. 3.3 If you have licensed antivirus Software, you acknowledge that the Software will seek to remove codes such as viruses, spyware, adware and malware. In some circumstances removal of detected code may result in You breaching a license to use the host software which originally installed the code and may result in host programs to cease operating. You agree to consult the terms of any license agreement for the host program before authorizing the removal of any viruses, spyware, adware or malware associated with that program.
Warranty
1. 4.1 You hereby acknowledge that the Software may not be uninterrupted and cannot be guaranteed error free and further acknowledge that the existence of any such errors shall not constitute a breach of this Agreement by PC Tools. In particular, PC Tools does not guarantee that the Software will (i) detect and/or remove all known viruses, spyware, adware, malware, Trojans, keyloggers and trackware, or locate all browser infections and tracking cookies on Your Device, nor that the Software will not occasionally erroneously report a virus in a file or system not infected by that virus; (ii) recover or detect all undeleted files which are present on Your Device; (iii) block all threats on Your Device, including from malicious websites or potential hackers; (iv) detect and/or filter all spam or junk email; or (v) detect, remove or rectify any errors on Your Device, including, without limitation any errors in Your Windows registry file or other operating system errors. If the Software is a beta version, You acknowledge and agree that (i) the Software may contain errors and defects and may not function as intended or in accordance with its specifications; and (ii) You assume all risk in using the Software and agree to take due care in the installation, execution and testing of the Software on Your Device’s system.
2. 4.2 The particular operating systems upon which the Software has been designed to execute will be published by PC Tools from time to time ("Compatible OS"). You agree that You will not execute or install the Software on any operating system other than a Compatible OS. You acknowledge and agree that the Software may not execute correctly and may interfere with other software if executed on an operating system which is not a Compatible OS.
3. 4.3 In the event that any terms, conditions, representations or warranties are implied by statute, common law or equity ("Prescribed Terms") into this Agreement which cannot be lawfully excluded, the Prescribed Terms will apply to this Agreement, save that the liability of PC Tools for breach of any Prescribed Terms will be limited, to the extent permitted by law, at the option of PC Tools, to any one or more of the following:
  - (a) the replacement of the Software to which the breach relates or the supply of equivalent Software;
  - (b) the repair of the Software;
  - (c) the payment of the cost of replacing the Software or of acquiring equivalent Software; or
  - (d) the payment of the cost of having the Software repaired.
4. 4.4 If the liability of PC Tools for breach of any Prescribed Terms is capable of exclusion, they are hereby excluded to the fullest extent permitted by law.
5. 4.5 Except as provided by the Prescribed Terms (if any), which are not capable of exclusion or limitation, or as expressly set out in these terms:
  - (a) PC Tools makes no warranties in relation to the Software, including warranties as to the performance or fitness for purpose of the Software (other than that PC Tools is entitled to grant to You the rights set out in this Agreement);
  - (b) You will not under any circumstances have any cause of action against, or right to claim or recover from, PC Tools for or in respect of any loss, damage or injury (including without limitation any loss of profit, indirect or consequential loss, damage or injury) arising from the supply or use of the Software or any breach of these terms; and
  - (c) subject to paragraph (b) above, the maximum liability of PC Tools to You in respect of any breach of this Agreement or otherwise in respect of Your use of the Software will be the amount You have paid PC Tools for the Software and if You have not paid PC Tools any amount for the Software, will be the amount of US $1 (one US dollar).
6. 4.6 PC Tools will not be liable for any indirect or consequential damages arising out of a breach of this Agreement or arising out of the supply of the Software.
7. 4.7 You acknowledge that You have exercised Your independent judgment in acquiring the Software and have not relied upon any representations made by PC Tools which have not been stated expressly in this Agreement or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material produced by PC Tools.
Copyright and Trade Marks
1. 5.1 You acknowledge that the Software and all related products (including but not limited to Device manuals and Device literature) ("Products") are the subject of copyright. You therefore, shall not during or any time after the expiry or termination of this Agreement, permit any act which infringes that copyright and, without limiting the generality of the foregoing, You specifically acknowledge that You may not copy the Software or Products except as otherwise expressly authorized by this Agreement.
2. 5.2 You shall not during or at any time after the expiry or termination of this Agreement permit any act which infringes the trademarks used in connection with the Software.
3. 5.3 You shall indemnify PC Tools fully against all liabilities, costs and expenses which PC Tools may incur to a third party as a result of Your breach of this clause 5.
Term of License and Subscription
1. 6.1 This Agreement commences upon payment of the license fee (in the case of online downloads) or upon Your first installation and use of the Software (in the case of retail purchases or trialware) and may be terminated in the following circumstances:
  1. (a) if You are in breach of any term of this Agreement;
  2. (b) if You, being a corporation, become the subject of insolvency proceedings or have a liquidator, receiver or examiner appointed to You or become unable to pay Your debts;
  3. (c) if You, being a person rather than a company, become bankrupt;
  4. (d) if You, being a firm or partnership, are dissolved; or
  5. (e) if You destroy the Software and/or the Products for any reason.
2. 6.2 Upon termination, You or a representative nominated by You shall destroy any remaining copies of the Software and Products or otherwise return or dispose of such material in the manner directed by PC Tools.
3. 6.3 Termination pursuant to this clause shall not affect any rights or remedies which PC Tools may otherwise have under this Agreement or at law.
Export Restrictions
1. 7.1 PC Tools, its employees and its agents are subject to U.S. export control laws that prohibit or restrict (i) transactions with certain parties, and (ii) the type and level of technologies and services that may be exported. You agree to comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither the Software, nor any direct products thereof are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.
2. 7.2 None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Sudan, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's List of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions or General Orders. By downloading or using the Software, You are agreeing to the foregoing and You are representing and warranting that You are not located in, under the control of, or a national or resident of any such country or on any such list, and that You acknowledge You are responsible to obtain any necessary U.S. government authorization to ensure compliance with U.S. law.
Assignment
The benefit of this Agreement shall not be dealt with in any way by You (whether by assignment, sub-licensing or otherwise) without PC Tools' written consent and this Agreement shall be binding on Your successors and assigns.
Waiver
Failure or neglect by either party to enforce at any time any of the provisions of this license Agreement shall not be construed or deemed to be a waiver of that party's rights under this Agreement.
Amending These Terms
PC Tools may amend any of the terms of this Agreement by (a) providing written notice to You of such amendments by email, Product smart alert; and/or (b) displaying such amendments or an amended copy of this Agreement to You during Your installation and/or execution of the Software or on the PC Tools Website. Without limiting the methods by which You may be notified of such amended terms, You acknowledge and agree that Your ongoing use of the Software after the date You are notified of any such changes of this Agreement, will constitute Your acceptance of such amended terms

If You do not agree to any amendments made by PC Tools to the terms of this Agreement, then You must uninstall the Software from Your Device and cease any further use of the Software. In such circumstances, You may also contact PC Tools to determine if You are eligible for a refund or partial refund of any purchase price paid to PC Tools in respect of the Software (subject to any conditions which PC Tools may place in respect of paying such a refund).
Governing Law and Jurisdiction
If the parties to this Agreement (as determined by Clause 1.1 above) are You and PC Tools Pty Ltd ACN 108 759 208, then this Agreement shall be governed by and construed according to the laws in force in Victoria, Australia and You irrevocably submit to the exclusive jurisdiction of the Courts of the State of Victoria and the Commonwealth of Australia. If the parties to this Agreement are You and PC Tools Limited (Irish Company Number 426110) then this Agreement will be governed by and construed according to the laws in force in the Republic of Ireland and You irrevocably submit to the exclusive jurisdiction of the Courts of the Republic of Ireland.

PC TOOLS -LISENSSISOPIMUS

ILMOITUS: Tämän tuotteen ("Ohjelmisto") käyttöoikeuden ehtona on se, että asiakas ja lisenssinhaltija ("Asiakas") hyväksyy tämän sopimuksen ("Sopimus") ehdot.

ASIAKAS EI VOI ASENTAA OHJELMISTOA, ENNEN KUIN ASIAKAS ON LUKENUT JA HYVÄKSYNYT KAIKKI TÄMÄN SOPIMUKSEN EHDOT NAPSAUTTAMALLA ["HYVÄKSYN"]-PAINIKETTA. TÄMÄN JÄLKEEN ASIAKKAAN JA ASIAKKAAN TYÖNTEKIJÖIDEN KATSOTAAN HYVÄKSYNEEN TÄMÄN SOPIMUKSEN EHDOT JA ASIAKKAASTA TULEE OHJELMISTON LISENSSINHALTIJA. TULOSTA KOPIO MYÖHEMPÄÄ KÄYTTÖÄ VARTEN.

Mikäli asiakas ei hyväksy sopimuksen ehtoja, asiakkaan ei tule napsauttaa ["HYVÄKSYN"]- painiketta ja Ohjelmistoa ei asenneta asiakkaan tietokoneeseen, matkapuhelimeen tai mobiililaitteeseen ("Laite"). Mikäli asiakas on ostanut Ohjelmiston hyväksymättä tämän sopimuksen ehtoja ja haluaa palauttaa Ohjelmiston, asiakkaan tulee ottaa yhteyttä PC Tools -yhtiöön ja selvitettävä, onko asiakas oikeutettu hyvitykseen.

Lisenssi
1. 1.1 Mikäli asiakas asuu Oseaniassa, kun asiakas ensi kertaa osti tai asensi Ohjelmiston (kumpi tapahtui ensin), Ohjelmiston lisenssinantaja on tällöin australialainen yhtiö PC Tools Pty Ltd ACN 108 759 208 ja Sopimuksen osapuolina ovat asiakas ja PC Tools Pty Ltd ACN 108 759 208. Mikäli asiakas ei asu Oseaniassa, kun asiakas ensi kertaa osti tai asensi Ohjelmiston (kumpi tapahtui ensin), Ohjelmiston lisenssinantaja on tällöin irlantilainen yhtiö PC Tools Limited (irlantilainen yhtiötunnus 426110) ja Sopimuksen osapuolina ovat asiakas ja PC Tools Limited (irlantilainen yhtiötunnus 426110). Tässä sopimuksessa lisenssinantajaan (joko PC Tools Limited tai PC Tools Pty Ltd) viitataan nimellä "PC Tools". Tässä sopimuksessa "Oseanialla"tarkoitetaan alueita Amerikan Samoa, Etelämanner, Australia ja sen ulkopuoliset alueet, myös Heard ja McDonaldsaaret, Kookossaaret (Keeling), Joulusaari, Ashmore- ja Cartiersaaret ja Korallisaaret, Cooksaarte, Fidzi, Ranskan Polynesia, Guam, Kiribati, Marshallsaaret, Mikronesia, Nauru, Uusi-Kaledonia, Uusi-Seelanti, Niue, Norfolkinsaari, Pohjois-Mariaanit, Palau, Papua-Uusi-Guinea, Pitcairn, Samoa, Salomosaaret, Tokelau, Tonga, Tuvalu, Vanuatu sekä Wallis ja Futuna.
2. 1.2 PC Tools antaa Ohjelmiston käyttöoikeuden asiakkaalle tämän sopimuksen ehtojen mukaisesti.
3. 1.3 PC Tools antaa asiakkaalle rajoittamattoman, siirtämättömän ja peruutettavissa olevan luvan:
  - (a) asentaa ja suorittaa Ohjelmiston
  - (b) tehdä yhden ylimääräisen kopion Ohjelmistosta varmuuskopiointia varten ja
  - (c) käyttää Ohjelmistoa tiukasti tämän sopimuksen ehtojen mukaisesti Ohjelmiston tilauskauden aikana.
4. 1.4 Sellaisten laitteiden lukumäärä, joihin asiakkaalla on oikeus asentaa ja suorittaa Ohjelmisto, määrätään ostohetkellä. Mikäli asiakas haluaa asentaa Ohjelmiston tätä useampaan Laitteeseen, asiakkaan on pyydettävä kirjallisesti lupa PC Tools -yhtiöltä ja maksettava PC Tools -yhtiön määrittämä ylimääräinen lisenssimaksu.
5. 1.5 Tässä sopimuksessa asiakkaalle myönnetty oikeus käyttää Ohjelmistoa koskee vain asiakkaan asentamaa tai PC Tools -yhtiöltä ostamaa ohjelmistoversiota. Jotkin tuotteet antavat asiakkaalle oikeuden saada Ohjelmistoon automaattisia päivityksiä, laajennuksia tai parannuksia, ja PC Tools toimittaa näitä asiakkaalle oman harkintansa mukaan. Jotkin tuotteet voivat vaatia asiakasta päivittämään uudempaan tuoteversioon, mikäli asiakas haluaa käyttää PC Tools -yhtiön kyseiseen tuotteeseen tarjoamia tukipalveluja. Päivitykset tarjotaan tavallisesti asiakkaan tilauksen osana tai voidaan vaatia osana PC Tools -tuotteen elinkaarta. Mikäli asiakas saa tällaisen päivityksen tai parannuksen, Ohjelmisto katsotaan automaattisesti osaksi tässä sopimuksessa asiakkaalle lisensoitua Ohjelmistoa. Mikäli asiakas solmii erillisen sopimuksen PC Tools -yhtiön kanssa muun tuotteen tai päivityksen toimittamisesta, kyseisessä sopimuksessa määrätään kyseisten tuotteiden ja päivitysten käytöstä.
6. 1.6 Asiakas hyväksyy, että PC Tools voi ylläpitää ja päivittää Ohjelmistoa, mutta yhtiö ei ole velvollinen tekemään niin, jollei asiakas ole ostanut erillistä huoltosopimusta tai tilausta, joka oikeuttaa asiakkaan päivityksiin määräajaksi. Jos tilauskautta ei ole määritetty, kun asiakas ostaa tuotteen lisenssin, tilauskausi on yksi (1) vuosi Ohjelmiston alkuperäisestä ostopäivästä (kun tuote ladataan verkosta) tai ensimmäisestä asennuspäivästä (kun tuote ostetaan jälleenmyyjältä). Jos haluat saada tietoja päivityksistä, käy säännöllisesti PC Tools -yhtiön sivustossa www.pctools.com.
7. 1.7 Mikäli asiakas on ostanut tilauksen, joka oikeuttaa asiakkaan päivityksiin, tai asiakas ostaa erillisen huoltosopimuksen, asiakas hyväksyy, että määrätyn tilaus- tai huoltosopimuskauden päätyttyä asiakkaalla ei ole enää oikeutta saada päivityksiä ilman uusintatilausta tai uutta huoltosopimusta. Asiakas hyväksyy, että PC Tools saattaa rajoittaa Ohjelmiston toimintoja tilaus- tai huoltosopimuskauden päätyttyä, jollei asiakas osta uusintatilausta tai uutta huoltosopimusta.
Lisenssimaksu
1. 2.1 Mikäli asiakkaan on maksettava Ohjelmistosta lisenssimaksu, asiakkaalla ei ole oikeutta käyttää Ohjelmistoa, ennen kuin lisenssimaksu on maksettu ja silloinkin vain tilauskauden ajan (mikäli se on määritetty). Luottokorttimaksuissa maksua ei katsota maksetuksi, ennen kuin laskutusjärjestelmän palveluntarjoaja on valtuuttanut luottokorttimaksun. Erillinen lisenssimaksu on maksettava kohdan 1.4 tilanteissa.
2. 2.2 Mikäli asiakas lataa maksuttoman Ohjelmiston tai Ohjelmiston kokeiluversion, asiakas voi käyttää sitä yhdessä tai useammassa Laitteessa rajattoman ajan (kokeiluversion mahdollisten aika- ja/tai toimintorajoitusten mukaisesti). Asiakas ei ole kuitenkaan oikeutettu saamaan teknistä tukea tai Ohjelmiston kaikkia toimintoja, jotka ovat käytettävissä, kun lisenssimaksu on maksettu.
Lisenssinhaltijan velvollisuudet
1. 3.1 Lisenssinhaltijana asiakas noudattaa seuraavia velvollisuuksia:
  - (a) asiakas ei saa tulostaa, toisintaa, kääntää, mukauttaa, muuttaa, tutkia valmistustapaa, purkaa tai muokata Ohjelmistoa millään tavalla tai missään muodossa muuten kuin Ohjelmiston tilapäisen kopion tekemiseen varmuuskopiointi- ja turvallisuustarkoituksiin ilman PC Tools -yhtiön nimenomaista lupaa, jollei tässä sopimuksessa ole sitä nimenomaisesti sallittu ja sovellettavan lainsäädännön mukaisia asiakkaan oikeuksia noudattaen
  - (b) asiakkaan on valvottava Ohjelmiston käyttöä tämän sopimuksen ehtojen mukaisesti
  - (c) asiakkaan on varmistettava, että asiakkaan työntekijät, alihankkijat ja muut edustajat, joilla on oikeus käyttää Ohjelmistoa, ovat perillä tämän sopimuksen ehdoista
  - (d) asiakas ei saa toimittaa tai muutoin antaa käytettäväksi Ohjelmistoa missään muodossa kenellekään muulle henkilölle kuin on mainittu kohdassa (c) ilman PC Tools -yhtiön kirjallista lupaa
  - (e) asiakas ei saa antaa, liisata, luovuttaa, lisensoida, alilisensoida, siirtää, jakaa, paljastaa, levittää tai julkaista Ohjelmistoa missään muodossa kenellekään muulle tai yrittää mitään edellä mainituista toimista
  - (f) asiakas ei saa muuttaa, poistaa tai peittää ilmoituksia tai muita merkkejä (mukaan luettuna tekijänoikeusilmoitukset) Ohjelmiston omistajuudesta
  - (g) asiakas ei saa käyttää Ohjelmistoa useammassa kuin yhdessä henkilökohtaisessa itsenäisessä Laitteessa tai muuten sallia useamman kuin yhden käyttäjän käyttää Ohjelmistoa yhtä aikaa, jollei sitä ole nimenomaisesti sallittu tässä sopimuksessa
  - (h) asiakas ei saa harjoittaa mitään sellaisia toimia, jotka rikkovat PC Tools -yhtiön tekijänoikeuksia Ohjelmistoon ja
  - (i) asiakas ei saa käyttää Ohjelmistoa automaattisissa, puoliautomaattisissa tai manuaalisissa työkaluissa, jotka on suunniteltu luomaan virusmääritteitä, virusten tunnistusrutiineja tai muuta dataa tai koodia haittakoodien tai -tietojen tunnistamiseksi.
2. 3.2 Asiakas hyväksyy, että kohdassa 1 myönnetty lisenssi ei tee asiakkaasta Ohjelmiston omistajaa eikä se siirrä tai luovuta mitään Ohjelmiston tekijänoikeuksia tai muita teollisoikeuksia asiakkaalle.
3. 3.3 Jos asiakkaalla on lisensoitu virustorjuntaohjelmisto, asiakas hyväksyy, että Ohjelmisto pyrkii poistamaan sellaisia koodeja kuin virukset, vakoiluohjelmat, mainosohjelmat ja haittaohjelmat. Joissakin tapauksissa tunnistetun koodin poistaminen voi johtaa siihen, että asiakas rikkoo koodin alun perin asentaneen isäntäohjelmiston lisenssiä ja että jotkin isäntäohjelmat eivät enää toimi. Asiakas lupaa tarkistaa isäntäohjelman lisenssisopimuksen ehdot ennen luvan antamista minkään kyseiseen ohjelmaan liittyvän viruksen, vakoiluohjelman, mainosohjelman tai haittaohjelman poistamiselle.
Takuu
1. 4.1 Asiakas hyväksyy, että Ohjelmisto ei toimi välttämättä keskeytyksittä ja takuuvarmasti virheettömästi, sekä hyväksyy lisäksi, että tällaiset virheet eivät riko sopimusta PC Tools -yhtiön kanssa. PC Tools ei anna takuuta sille, että Ohjelmisto (i) tunnistaa ja/tai poistaa kaikki tunnetut virukset, vakoiluohjelmat, mainosohjelmat, haittaohjelmat, troijalaiset, näppäilytallentimet ja jäljitysohjelmat tai paikallistaa kaikki selaimen tartunnat ja Laitteen jäljitysevästeet, tai että Ohjelmisto ei toisinaan ilmoita virheellisesti tiedostosta tai järjestelmästä löytyneestä viruksesta (ii) palauttaa tai havaitsee kaikki poistamattomat tiedostot, jotka ovat asiakkaan Laitteessa (iii) torjuu kaikki asiakkaan Laitteen uhat, myös haittasivustot ja mahdolliset hakkerit (iv) tunnistaa ja/tai suodattaa kaiken roskapostin tai (v) tunnistaa, poistaa tai korjaa kaikki asiakkaan Laitteen virheet, myös rajoittamatta mahdolliset asiakkaan Windowsin rekisterin virheet tai muut käyttöjärjestelmän virheet. Jos Ohjelmisto on beetaversio, asiakas hyväksyy, että (i) Ohjelmisto saattaa sisältää virheitä ja puutteita eikä toimi välttämättä tarkoitetulla tavalla tai ohjeiden mukaisesti ja (ii) asiakas ottaa täyden vastuun Ohjelmiston käytöstä ja lupaa toimia huolellisesti asentaessaan, suorittaessaan ja testatessaan Ohjelmistoa Laitteensa järjestelmässä.
2. 4.2 PC Tools julkaisee aika ajoittain käyttöjärjestelmät, joissa Ohjelmisto on suunniteltu toimimaan("yhteensopivat käyttöjärjestelmät"). Asiakas lupaa olla suorittamatta tai asentamatta Ohjelmistoa mihinkään muuhun kuin yhteensopivaan käyttöjärjestelmään. Asiakas hyväksyy, että Ohjelmisto ei välttämättä toimi oikein ja saattaa häiritä muiden ohjelmien toimintaa, jos sitä käytetään muussa kuin yhteensopivassa käyttöjärjestelmässä.
3. 4.3 Mikäli lakien tai tapaoikeuksien ("Ennalta määrätyt ehdot") mukaan tämä sopimus sisältää ehtoja, väitteitä tai takuita, joita ei voida lain mukaan poissulkea, ennalta määrättyjä ehtoja sovelletaan tähän sopimukseen, mutta PC Tools -yhtiön korvausvastuu ennalta määrättyjen ehtojen mahdollisesta rikkomisesta rajataan lain sallimassa määrin ja PC Tools -yhtiön valinnan mukaan johonkin tai joihinkin seuraavista:
  - (a) Ohjelmiston, johon rikkomus liittyy, korvaaminen tai vaihtaminen vastaavaan Ohjelmistoon
  - (b) Ohjelmiston korjaaminen
  - (c) Ohjelmiston korvaamisen tai vastaavan Ohjelmiston hankkimisen kulujen maksaminen tai
  - (d) Ohjelmiston korjaamisen kulujen maksaminen.
4. 4.4 Mikäli PC Tools -yhtiön korvausvastuu ennalta määrättyjen ehtojen rikkomisesta voidaan poissulkea, se poissuljetaan niin täysimittaisesti kuin laissa sallitaan.
5. 4.5 Mikäli on määrätty (mahdollisissa) ennalta määrätyissä ehdoissa, joita ei voi poissulkea tai rajoittaa, tai nimenomaisesti mainittu näissä ehdoissa:
  - (a) PC Tools ei anna mitään takuita Ohjelmistolle, mukaan luettuna Ohjelmiston toiminta tai tarkoitukseen soveltuvuus (paitsi, että PC Tools on oikeutettu antamaan asiakkaalle tässä sopimuksessa määrätyt oikeudet)
  - (b) Asiakkaalla ei ole missään tilanteessa kanteen perusteluja tai oikeutta vaatimuksiin tai hyvitykseen PC Tools -yhtiötä vastaan mistään tappiosta, vahingosta tai vammasta (mukaan luettuna rajoittamatta voittojen menetykset, epäsuorat tai johdannaiset menetykset, vahingot tai vammat), jotka johtuvat Ohjelmiston käytöstä tai näiden ehtojen rikkomisesta
  - (c) edellä mainitun kohdan (b) mukaisesti PC Tools -yhtiön enimmäiskorvausvastuu asiakkaalle tämän sopimuksen ehtojen rikkomisesta tai muuten asiakkaan Ohjelmiston käytöstä on summa, jonka asiakas on maksanut PC Tools -yhtiölle Ohjelmistosta ja, mikäli asiakas ei ole maksanut PC Tools -yhtiölle mitään Ohjelmistosta, summa on 1 $ (Yhdysvaltain dollari).
6. 4.6 PC Tools ei ole vastuussa mistään epäsuorista tai johdannaisista vahingoista, jotka johtuvat tämän sopimuksen ehtojen rikkomisesta tai Ohjelmiston käyttämisestä.
7. 4.7 Asiakas vahvistaa käyttäneensä omaa itsenäistä harkintaansa hankkiessaan Ohjelmiston eikä tukeutuneensa mihinkään PC Tools -yhtiön väitteeseen, jota ei ole selvästi esitetty tässä sopimuksessa, tai mihinkään kuvaukseen, esitykseen tai tietoihin, jotka ovat asiakirjassa, esimerkiksi PC Tools -yhtiön tuottamissa luetteloissa tai mainosmateriaalissa.
Tekijänoikeus ja tavaramerkit
1. 5.1 Asiakas hyväksyy, että Ohjelmisto ja kaikki siihen liittyvät tuotteet (mukaan luettuna rajoittamatta Laitteen käyttöohjeet ja kirjallisuus) ("Tuotteet") kuuluvat tekijänoikeuden alaisuuteen. Asiakas ei saa siten tämän sopimuksen aikana tai päättymisen tai irtisanomisen jälkeen sallia mitään toimia, mitkä rikkovat kyseistä tekijänoikeutta ja edellisen yleisyyttä rajoittamatta asiakas hyväksyy erityisesti, että asiakas ei saa kopioida Ohjelmistoa tai Tuotteita, jollei tässä sopimuksessa ole nimenomaisesti annettu siihen lupaa.
2. 5.2 Asiakas ei saa milloinkaan tämän sopimuksen voimassaoloaikana tai sen päätyttyä tai irtisanomisen jälkeen sallia mitään toimia, jotka rikkovat Ohjelmiston yhteydessä käytettyjä tavaramerkkejä.
3. 5.3 Asiakas vapauttaa PC Tools -yhtiön täysin kaikista vastuista, kuluista ja kustannuksista, joita PC Tools voi aiheuttaa kolmannelle osapuolelle sen seurauksena, että asiakas on rikkonut sopimuksen kohtaa 5.
Lisenssi- ja tilausehdot
1. 6.1 Tämä sopimus astuu voimaan lisenssimaksun suorittamisen jälkeen (kun tuote ladataan verkosta) tai ensimmäisenä asennuspäivänä (kun tuote ostetaan jälleenmyyjältä tai kokeiluversiona) ja voidaan irtisanoa seuraavissa tilanteissa:
  1. (a) mikäli asiakas rikkoo mitään tämän sopimuksen ehtoja
  2. (b) mikäli yhtiömuotoinen asiakas julistetaan maksukyvyttömäksi tai selvitystilaan tai ei pysty maksamaan velkojaan
  3. (c) mikäli henkilöasiakas tekee vararikon
  4. (d) mikäli asiakas on yritys tai henkilöyhtiö, joka puretaan
  5. (e) mikäli asiakas tuhoaa Ohjelmiston ja/tai Tuotteet mistä tahansa syystä.
2. 6.2 Sopimuksen päättymisen jälkeen asiakas tai asiakkaan nimeämä edustaja tuhoaa Ohjelmiston ja Tuotteiden jäljellä olevat kopiot tai palauttaa tai hävittää materiaalin PC Tools -yhtiön määräämällä tavalla.
3. 6.3 Tämän kohdan mukainen sopimuksen päättyminen ei vaikuta mihinkään oikeuksiin tai muutoksenhakukeinoihin, jotka PC Tools -yhtiöllä on tämän sopimuksen tai lain mukaan.
Vientirajoitukset
1. 7.1 PC Tools, sen työntekijät ja edustajat noudattavat Yhdysvaltain vientilainsäädäntöä, joka kieltää tai rajoittaa (i) liiketoimia määrättyjen osapuolten kanssa ja (ii) vietävien tekniikoiden ja palvelujen tyyppiä ja tasoa. Asiakas lupaa noudattaa täysin kaikkia Yhdysvaltain ja muiden maiden lakeja ja säädöksiä (vientilainsäädäntöä) ja varmistaa, että Ohjelmistoa tai mitään siitä johdettuja suoria tuotteita ei (1) viedä suoraan tai epäsuoraan Yhdysvaltain vientilainsäädännön vastaisesti tai (2) käytetä Vientilainsäädännön vastaiseen tarkoitukseen, mukaan luettuna rajoittamatta ydinaseiden, kemiallisten aseiden tai biologisten aseiden levittämiseen.
2. 7.2 Ohjelmistoa tai sen taustalla olevia tietoja tai tekniikkaa ei saa ladata tai viedä tai jälleenviedä (i) Kuubaan, Pohjois-Koreaan, Iraniin, Sudaniin, Syyriaan tai muuhun Yhdysvaltain vientikiellon alaiseen maahan (tai näiden maiden kansalaisille tai asukkaille) tai (ii) kenellekään Yhdysvaltain valtiovarainministeriön erityiskansalaisten, Yhdysvaltain kauppaministeriön kiellettyjen henkilöiden, varmistamattomien tahojen, yhteisöjen, levittämiskieltosanktioiden tai yleismääräysten luettelossa mainituille henkilöille tai yhteisöille. Lataamalla tai käyttämällä Ohjelmistoa asiakas hyväksyy edellä esitetyt ehdot ja asiakas vakuuttaa, ettei hän sijaitse missään tällaisessa maassa tai ole niiden kansalainen tai asukas tai missään edellä mainitussa luettelossa, ja asiakas hyväksyy, että asiakkaan vastuulla on hankkia vaadittava Yhdysvaltain valtion valtuutus Yhdysvaltain lakien noudattamisesta.
Oikeudenluovutus
Asiakas ei saa käydä kauppaa tämän sopimuksen eduilla millään tavalla (luovuttamalla, alilisensoimalla tai muuten) ilman PC Tools -yhtiön kirjallista lupaa, ja tämä sopimus sitoo myös asiakkaan oikeusseuraajia.
Oikeuksista luopuminen
Mikäli jompikumpi osapuoli jättää noudattamatta tai laiminlyö tämän lisenssisopimuksen ehtoja, tätä ei katsota kyseisen osapuolen oikeuksista luopumiseksi tämän sopimuksen mukaan.
Sopimuksen ehtojen muuttaminen
PC Tools voi muuttaa tämän sopimuksen ehtoja (a) toimittamalla kirjallisen ilmoituksen asiakkaalle muutoksista sähköpostitse, tuotetiedotteessa ja/tai (b) esittämällä muutokset tai tämän sopimuksen muutetun version asiakkaalle Ohjelmiston asentamisen ja/tai suorittamisen yhteydessä tai PC Tools -sivustossa. Ehtojen muutoksista asiakkaalle ilmoittamisen tapoja rajoittamatta asiakas hyväksyy, että mikäli asiakas jatkaa Ohjelmiston käyttöä sen jälkeen, kun asiakkaalle on ilmoitettu sopimuksen muutoksista, tämä tarkoittaa, että asiakas on hyväksynyt ehtojen muutokset.

Mikäli asiakas ei hyväksy PC Tools -yhtiön sopimusehtoihin tekemiä muutoksia, asiakkaan on poistettava Ohjelmiston asennus Laitteesta ja lopetettava Ohjelmiston käyttäminen. Tällaisessa tilanteessa asiakas voi myös ottaa yhteyttä PC Tools -yhtiöön ja ottaa selvää, onko asiakas oikeutettu Ohjelmiston ostohinnan hyvitykseen tai osittaiseen hyvitykseen (PC Tools -yhtiön hyvitysten maksua koskevien mahdollisten ehtojen mukaisesti).
Sovellettava lainsäädäntö ja toimivaltaisuus
Mikäli tämän sopimuksen osapuolet (edellä olevan kohdan 1.1 mukaisesti) ovat asiakas ja PC Tools Pty Ltd ACN 108 759 208, tällöin tähän sopimukseen sovelletaan Victorian (Australia) voimassaolevia lakeja ja sopimusta tulkitaan niiden mukaisesti, ja asiakas hyväksyy peruuttamattomasti Victorian osavaltion tuomioistuinten ja Australian liittovaltion toimivaltaisuuden. Mikäli tämän sopimuksen osapuolet (edellä olevan kohdan 1.1 mukaisesti) ovat asiakas ja PC Tools Pty Ltd ACN 426110, tällöin tähän sopimukseen sovelletaan Victorian (Australia) voimassaolevia lakeja ja sopimusta tulkitaan niiden mukaisesti, ja asiakas hyväksyy peruuttamattomasti Victorian osavaltion tuomioistuinten ja Australian liittovaltion toimivaltaisuuden.
