PC TOOLS END USER LICENSE AGREEMENT

NOTIFICATION: Permission to use this product (“Software”) is conditional upon you as the customer and licensee (“You”) agreeing to the terms set out below (this “Agreement”)

If You do not wish to accept the following terms do not select the [“I AGREE”] Button and the Software will not install on to Your computer, mobile or mobile computing device (“Device”). In circumstances where You purchase the Software without accepting the terms of this Agreement and wish to return the Software please contact PC Tools to determine whether You are eligible for a refund.

License
1. 1.1 If You are a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Australian Company, PC Tools Pty Ltd ACN 108 759 208 and the parties to this Agreement will be You and PC Tools Pty Ltd ACN 108 759 208. If You are not a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Irish Company, PC Tools Limited (Irish Company Number 426110) and the parties to this Agreement will be You and PC Tools Limited (Irish Company Number 426110). For the purposes of this Agreement, the licensor (being either PC Tools Limited or PC Tools Pty Ltd) will be referred to as "PC Tools". For the purposes of this Agreement, "Oceania" means American Samoa, Antarctica, Australia and its outside territories, including Heard Island & McDonald Islands, Cocos (Keeling) Islands, Christmas Island, Ashmore & Carter Islands, and Coral Sea Islands, Cook Islands, Fiji, French Polynesia, Guam, Kiribati, Marshall Islands, Federated States of Micronesia, Nauru, New Caledonia, New Zealand, Niue, Norfolk Island, Northern Mariana Islands, Palau, Papua New Guinea, Pitcairn Islands, Samoa, Solomon Islands, Tokelau, Tonga, Tuvalu, Vanuatu and Wallis and Futuna Islands.
2. 1.2 PC Tools has agreed to license use of the Software to You pursuant to this Agreement and the terms and conditions set out below.
3. 1.3 PC Tools grants to You a non-exclusive, non-transferable, revocable license to:
  - (a) install and execute the Software;
  - (b) make one additional copy of the Software for backup purposes only; and
  - (c) use the Software strictly in accordance with the provisions of this Agreement during the subscription period specified for that Software.
4. 1.4 The number of Devices on which You are entitled to install and execute the Software is specified at the time of purchase. If You wish to install the Software on more than this number of Devices, You may only do so upon receipt of written consent from PC Tools and upon payment of an additional license fee as stipulated by PC Tools.
5. 1.5 Your license to use the Software as granted herein only permits You to use the version of the Software which You have installed or purchased from PC Tools. Some products will include Your rights to receive automatic updates, enhancements and improvements of the Software and these will be provided to You by PC Tools at its sole discretion. Some products may require You to upgrade to a more recent version if You wish to avail Yourself of the support services by PC Tools in relation to that particular product. These upgrades are usually offered as part of the subscription provided to You or may be required as part of PC Tools product lifecycle. If You receive such an update or improvement, such Software shall automatically be deemed to be a part of the Software licensed to You under this Agreement. If You enter into a separate agreement with PC Tools for the supply of any other product or updates of the Software then such a separate Agreement will govern the use of those products and updates.
6. 1.6 You acknowledge that PC Tools may offer to maintain and update the Software but it is not obliged to do so unless You have purchased a subscription that entitles You to updates for a specified period, or You purchase a separate maintenance contract. If no subscription period is specified at the time You purchase a license for this product, the subscription period will be one (1) year from the date You either first purchased (in the case of online downloads) or first installed the Software (in the case of retail purchases). Should You wish to receive information about updates please view PC Tools website on a regular basis at www.pctools.com.
7. 1.7 If You have purchased a subscription that entitles You to updates, or You purchase a separate maintenan+-ce contract, You acknowledge that after the specified subscription period or maintenance period has expired, You have no further right to receive any updates without the purchase of a renewal or new subscription or maintenance contract. You also acknowledge that PC Tools may limit the functionality of the Software upon the expiry of any subscription period or maintenance period unless You purchase a new subscription or maintenance contract.
License Fee
1. 2.1 Where a license fee is payable by You in respect of the Software, You are not entitled to use the Software until the license fee has been paid and then only for the period of the subscription (where specified). In the case of payment by credit card, payment will not be deemed paid until the credit card payment has been authorized by the billing provider. A separate license fee is payable in the circumstances described in clause 1.4.
2. 2.2 However, You are not entitled to receive technical support nor the full functionality that comes with the Software until a license fee has been paid.
Licensee's Obligations
1. 3.1 As the Licensee You hereby undertake the following obligations:
  - (a) to not print, copy, reproduce, translate, adapt, vary, alter, change, reverse engineer, decompile or modify the Software by any means or in any other form, other than to make one temporary copy of the Software for back-up and security purposes, without the express consent of PC Tools, except as expressly authorized by this Agreement and subject to Your rights under applicable law;
  - (b) to supervise and control the use of the Software in accordance with the terms of this Agreement;
  - (c) to ensure Your employees, sub-contractors and other agents who have authorized access to the Software are made aware of the terms of this Agreement;
  - (d) to not provide or otherwise make available the Software in any form to any person other than those referred to in paragraph (c) without the written consent of PC Tools;
  - (e) to not give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate or publish the Software in any form to any other person or attempt to do any of these acts;
  - (f) to not alter, change, remove or obscure any notices or other indications (including copyright notices) as to ownership of the Software;
  - (g) not to access or use the Software on more than one personal stand-alone Device, or otherwise allow the Software to be accessed or used by more than one user at any one time except as expressly authorized by this Agreement;
  - (h) to not engage in any acts which infringe PC Tools intellectual property rights in the Software; and
  - (i) to not use the Software in automatic, semi-automatic or manual tools designed to create virus signatures, virus detection routines, any other data or code for detecting malicious code or data.
2. 3.2 You acknowledge that the License granted by clause 1 does not make You the owner of the Software nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property rights subsisting in the Software to You.
3. 3.3 If you have licensed antivirus Software, you acknowledge that the Software will seek to remove codes such as viruses, spyware, adware and malware. In some circumstances removal of detected code may result in You breaching a license to use the host software which originally installed the code and may result in host programs to cease operating. You agree to consult the terms of any license agreement for the host program before authorizing the removal of any viruses, spyware, adware or malware associated with that program.
Warranty
1. 4.1 You hereby acknowledge that the Software may not be uninterrupted and cannot be guaranteed error free and further acknowledge that the existence of any such errors shall not constitute a breach of this Agreement by PC Tools. In particular, PC Tools does not guarantee that the Software will (i) detect and/or remove all known viruses, spyware, adware, malware, Trojans, keyloggers and trackware, or locate all browser infections and tracking cookies on Your Device, nor that the Software will not occasionally erroneously report a virus in a file or system not infected by that virus; (ii) recover or detect all undeleted files which are present on Your Device; (iii) block all threats on Your Device, including from malicious websites or potential hackers; (iv) detect and/or filter all spam or junk email; or (v) detect, remove or rectify any errors on Your Device, including, without limitation any errors in Your Windows registry file or other operating system errors. If the Software is a beta version, You acknowledge and agree that (i) the Software may contain errors and defects and may not function as intended or in accordance with its specifications; and (ii) You assume all risk in using the Software and agree to take due care in the installation, execution and testing of the Software on Your Device’s system.
2. 4.2 The particular operating systems upon which the Software has been designed to execute will be published by PC Tools from time to time ("Compatible OS"). You agree that You will not execute or install the Software on any operating system other than a Compatible OS. You acknowledge and agree that the Software may not execute correctly and may interfere with other software if executed on an operating system which is not a Compatible OS.
3. 4.3 In the event that any terms, conditions, representations or warranties are implied by statute, common law or equity ("Prescribed Terms") into this Agreement which cannot be lawfully excluded, the Prescribed Terms will apply to this Agreement, save that the liability of PC Tools for breach of any Prescribed Terms will be limited, to the extent permitted by law, at the option of PC Tools, to any one or more of the following:
  - (a) the replacement of the Software to which the breach relates or the supply of equivalent Software;
  - (b) the repair of the Software;
  - (c) the payment of the cost of replacing the Software or of acquiring equivalent Software; or
  - (d) the payment of the cost of having the Software repaired.
4. 4.4 If the liability of PC Tools for breach of any Prescribed Terms is capable of exclusion, they are hereby excluded to the fullest extent permitted by law.
5. 4.5 Except as provided by the Prescribed Terms (if any), which are not capable of exclusion or limitation, or as expressly set out in these terms:
  - (a) PC Tools makes no warranties in relation to the Software, including warranties as to the performance or fitness for purpose of the Software (other than that PC Tools is entitled to grant to You the rights set out in this Agreement);
  - (b) You will not under any circumstances have any cause of action against, or right to claim or recover from, PC Tools for or in respect of any loss, damage or injury (including without limitation any loss of profit, indirect or consequential loss, damage or injury) arising from the supply or use of the Software or any breach of these terms; and
  - (c) subject to paragraph (b) above, the maximum liability of PC Tools to You in respect of any breach of this Agreement or otherwise in respect of Your use of the Software will be the amount You have paid PC Tools for the Software and if You have not paid PC Tools any amount for the Software, will be the amount of US $1 (one US dollar).
6. 4.6 PC Tools will not be liable for any indirect or consequential damages arising out of a breach of this Agreement or arising out of the supply of the Software.
7. 4.7 You acknowledge that You have exercised Your independent judgment in acquiring the Software and have not relied upon any representations made by PC Tools which have not been stated expressly in this Agreement or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material produced by PC Tools.
Copyright and Trade Marks
1. 5.1 You acknowledge that the Software and all related products (including but not limited to Device manuals and Device literature) ("Products") are the subject of copyright. You therefore, shall not during or any time after the expiry or termination of this Agreement, permit any act which infringes that copyright and, without limiting the generality of the foregoing, You specifically acknowledge that You may not copy the Software or Products except as otherwise expressly authorized by this Agreement.
2. 5.2 You shall not during or at any time after the expiry or termination of this Agreement permit any act which infringes the trademarks used in connection with the Software.
3. 5.3 You shall indemnify PC Tools fully against all liabilities, costs and expenses which PC Tools may incur to a third party as a result of Your breach of this clause 5.
Term of License and Subscription
1. 6.1 This Agreement commences upon payment of the license fee (in the case of online downloads) or upon Your first installation and use of the Software (in the case of retail purchases or trialware) and may be terminated in the following circumstances:
  1. (a) if You are in breach of any term of this Agreement;
  2. (b) if You, being a corporation, become the subject of insolvency proceedings or have a liquidator, receiver or examiner appointed to You or become unable to pay Your debts;
  3. (c) if You, being a person rather than a company, become bankrupt;
  4. (d) if You, being a firm or partnership, are dissolved; or
  5. (e) if You destroy the Software and/or the Products for any reason.
2. 6.2 Upon termination, You or a representative nominated by You shall destroy any remaining copies of the Software and Products or otherwise return or dispose of such material in the manner directed by PC Tools.
3. 6.3 Termination pursuant to this clause shall not affect any rights or remedies which PC Tools may otherwise have under this Agreement or at law.
Export Restrictions
1. 7.1 PC Tools, its employees and its agents are subject to U.S. export control laws that prohibit or restrict (i) transactions with certain parties, and (ii) the type and level of technologies and services that may be exported. You agree to comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither the Software, nor any direct products thereof are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.
2. 7.2 None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Sudan, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's List of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions or General Orders. By downloading or using the Software, You are agreeing to the foregoing and You are representing and warranting that You are not located in, under the control of, or a national or resident of any such country or on any such list, and that You acknowledge You are responsible to obtain any necessary U.S. government authorization to ensure compliance with U.S. law.
Assignment
The benefit of this Agreement shall not be dealt with in any way by You (whether by assignment, sub-licensing or otherwise) without PC Tools' written consent and this Agreement shall be binding on Your successors and assigns.
Waiver
Failure or neglect by either party to enforce at any time any of the provisions of this license Agreement shall not be construed or deemed to be a waiver of that party's rights under this Agreement.
Amending These Terms
PC Tools may amend any of the terms of this Agreement by (a) providing written notice to You of such amendments by email, Product smart alert; and/or (b) displaying such amendments or an amended copy of this Agreement to You during Your installation and/or execution of the Software or on the PC Tools Website. Without limiting the methods by which You may be notified of such amended terms, You acknowledge and agree that Your ongoing use of the Software after the date You are notified of any such changes of this Agreement, will constitute Your acceptance of such amended terms

If You do not agree to any amendments made by PC Tools to the terms of this Agreement, then You must uninstall the Software from Your Device and cease any further use of the Software. In such circumstances, You may also contact PC Tools to determine if You are eligible for a refund or partial refund of any purchase price paid to PC Tools in respect of the Software (subject to any conditions which PC Tools may place in respect of paying such a refund).
Governing Law and Jurisdiction
If the parties to this Agreement (as determined by Clause 1.1 above) are You and PC Tools Pty Ltd ACN 108 759 208, then this Agreement shall be governed by and construed according to the laws in force in Victoria, Australia and You irrevocably submit to the exclusive jurisdiction of the Courts of the State of Victoria and the Commonwealth of Australia. If the parties to this Agreement are You and PC Tools Limited (Irish Company Number 426110) then this Agreement will be governed by and construed according to the laws in force in the Republic of Ireland and You irrevocably submit to the exclusive jurisdiction of the Courts of the Republic of Ireland.

2. 1.2 Tools har accepteret at licensere brugen af softwaren til dig i overensstemmelse med denne aftale og de vilkår og betingelser, der er angivet nedenfor.

5. 1.5 Den heri angivne licens til brug af softwaren tillader dig kun at bruge den version af softwaren, som du har installeret eller købt fra PC Tools. Visse produkter vil inkludere din ret til at modtage automatiske opdateringer, udvidelser og forbedringer af softwaren, og du vil modtage disse fra PC Tools udelukkende efter selskabets valg. 6. 1.6 Du anerkender, at PC Tools kan tilbyde at vedligeholde og opdatere softwaren, men ikke er forpligtet til at gøre det, medmindre du har købt et abonnement, der berettiger dig til opdateringer i en angivet periode, eller du køber en separat vedligeholdelseskontrakt. Hvis der ikke er angivet nogen abonnementsperiode på det tidspunkt, hvor du køber en licens til dette produkt, vil abonnementsperioden være et (1) år fra datoen for enten dit første køb (i tilfælde af onlinedownload) eller første installation af softwaren (ved køb hos en forhandler). Hvis du ønsker at modtage oplysninger om opdateringer, skal du regelmæssigt gå ind på PC Tools websted på www.pctools.com.
7. 1.7 Hvis du har købt et abonnement, der berettiger dig til opdateringer, eller du køber en separat vedligeholdelseskontrakt, anerkender du, at du, efter den angivne abonnementsperiode eller vedligeholdelsesperiode er udløbet, ikke har ret til at modtage yderligere opdateringer uden at købe en fornyelse eller et nyt abonnement eller vedligeholdelseskontrakt. Du anerkender også, at PC Tools kan begrænse softwarens funktioner ved udløbet af abonnementsperioden eller vedligeholdelsesperioden, medmindre du køber et nyt abonnement eller vedligeholdelseskontrakt.
Licensafgift
1. 2.1 Når du skal betale en licensafgift for softwaren, har du ikke ret til at bruge softwaren, før licensafgiften er blevet betalt og i så fald kun i abonnementsperioden (hvor den er angivet). I tilfælde af betaling med kreditkort vil betalingen ikke blive betragtet som udført, før kreditkortbetalingen er godkendt af kreditkortselskabet. Der skal betales en separat licensafgift under de omstændigheder, der er beskrevet i paragraf 1.4.
2. 2.2 Hvis du downloader en gratis- eller prøveversion af softwaren, kan du bruge den på en eller flere enheder i en ubegrænset periode (afhængig af begrænsninger vedrørende tid og/eller funktioner, der kan gælde for prøveversionen). Men du har ikke ret til teknisk support eller alle de funktioner, der findes i softwaren, indtil den fulde licensafgift er betalt.
Licenshavers forpligtelser
1. 3.1 Som licenshaver påtager du dig hermed de følgende forpligtelser:
  - (a) ikke at udskrive, kopiere, gengive, oversætte, tilpasse, forandre, ændre, reverse engineer, dekompilere eller ændre softwaren på nogen måde eller på anden vis ud over at lave en midlertidig kopi af softwaren til backup- og sikkerhedsformål, uden udtrykkelig tilladelse fra PC Tools, undtagen som udtrykkeligt godkendt i denne aftale og i overensstemmelse med dine juridiske rettigheder i forbindelse med gældende lov:
  - (b) at overvåge og kontrollere brugen af softwaren i overensstemmelse med vilkårene i denne aftale;
  - (c) at sikre, at dine ansatte, underleverandører og andre repræsentanter, der har godkendt adgang til softwaren, er gjort opmærksom på vilkårene i denne aftale:
  - (d) ikke at levere eller på anden vis stille softwaren til rådighed i nogen form til andre personer end dem, der er henvist til i paragraf (c) uden skriftlig tilladelse fra PC Tools;
  - (e) ikke at give, lease, overdrage, licensere, underlicensere, overføre, distribuere, afsløre, udbrede eller offentliggøre softwaren i nogen form til andre personer eller forsøge på noget sådant;
  - (f) ikke at forandre, ændre, fjerne eller skjule nogen meddelelser eller andre tilkendegivelser (inklusive meddelelser om ophavsret) vedrørende ophavsretten til softwaren;
  - (g) ikke at gå ind på eller anvende softwaren på mere end en personlig, selvstændig enhed, eller tillade adgang til eller brug af softwaren til mere end én bruger på noget tidspunkt, undtagen når det udtrykkeligt er godkendt i denne aftale;
  - (h) ikke at foretage dig noget, som kan krænke PC Tools' ophavsret til softwaren; og
  - (i) ikke at bruge softwaren i automatiske, halvautomatiske eller manuelle værktøjer, der er beregnet til at oprette virussignaturer, rutiner til opdagelse af virus, nogen anden data eller kode til opdagelse af skadelig kode eller data.
2. 3.2 Du anerkender, at den licens, som gives i paragraf 1, ikke gør dig til ejer af softwaren, ej heller giver den dig ret til på nogen måde at overføre eller tildele nogen ophavsret eller anden ejerskab til andre.
3. 3.3 Hvis du har licens til antivirussoftware, anerkender du, at softwaren vil forsøge at fjerne koder som virus, spyware, adware og malware. Under visse omstændigheder vil fjernelse af opdaget kode medføre, at du bryder en licens til at bruge hostsoftwaren, der oprindeligt installerede koden, og kan medføre, at hostprogrammer ikke fungerer længere. Du erklærer dig enig i, at du vil undersøge vilkårene for enhver licensaftale for hostprogrammer, før du godkender fjernelsen af virus, spyware, adware eller malware, der er knyttet til det pågældende program.
Garanti
1. 4.1 Du accepterer hermed, at softwaren muligvis ikke altid fungerer uforstyrret, og at den ikke kan garanteres at være fejlfri, samt anerkender, at eksistensen af sådanne fejl ikke udgør noget brud på denne aftale fra PC Tools side. Særligt garanterer PC Tools ikke, at softwaren vil (i) opdage og/eller fjerne alle kendte virus, spyware, adware, malware, trojanere, tastaturloggere og trackware eller opdage alle browserinfektioner og sporingscookies på din enhed, eller at softwaren ikke en gang imellem fejlagtigt rapporterer en virus i en fil eller et system, der ikke er inficeret af denne virus; (ii) gendanne eller opdage alle uslettede filer, der findes på din enhed; (iii) blokere alle trusler på din enhed herunder trusler fra skadelige websteder eller potentielle hackere; (iv) opdage og/eller bortfiltrere al spam eller junkmails; eller (v) opdage, fjerne eller korrigere fejl på din enhed, herunder, men ikke begrænset til, eventuelle fejl i din Windows-registerfil eller andre fejl i operativsystemet. Hvis softwaren er en betaversion, anerkender du og accepterer, at (i) softwaren kan indeholde fejl og mangler, samt at den muligvis ikke fungerer efter hensigten eller i overensstemmelse med dens specifikationer; og (ii) du påtager dig al risiko i forbindelse med brug af softwaren og accepterer at tage de nødvendige forholdsregler ved installation, kørsel og afprøvning af softwaren på din enheds system.
2. 4.2 De pågældende operativsystemer, som softwaren er udviklet til, vil blive offentliggjort af PC Tools fra tid til anden ("Kompatible operativsystemer"). Du indvilger i, at du ikke vil køre eller installere softwaren på noget andet operativsystem end de kompatible. Du anerkender og er enig i, at softwaren muligvis ikke fungerer korrekt og kan påvirke anden software, hvis de køres på et operativsystem, der ikke er kompatibelt.
3. 4.3 I tilfælde af at noget vilkår, betingelse, beskrivelse eller garanti, der er forudsat ved lov eller rimelighed ("Foreskrevne vilkår". i denne aftale, som ikke juridisk kan udelukkes, vil de foreskrevne vilkår gælde for denne aftale, men PC Tools ansvar for brud på nogen foreskrevne vilkår vil blive begrænset i det omfang, loven tillader det, efter PC Tools valg til et eller flere af følgende:
  - (a) udskiftning af den pågældende eller levering af tilsvarende software;
  - (b) reparation af softwaren:
  - (c) betaling af omkostningen til udskiftning af softwaren eller køb af tilsvarende software; eller
  - (d) betaling af omkostningerne til reparation af softwaren.
4. 4.4 Hvis PC Tools ansvar for noget brud på foreskrevne vilkår kan udelukkes, er de i videst muligt omfang, loven tillader det, hermed udelukket.
5. 4.5 Undtagen som angivet i de foreskrevne vilkår (hvis overhovedet), der ikke kan udelukkes eller begrænses eller som udtrykkeligt er angivet i disse vilkår:
  - (a) PC Tools yder ingen garanti i forhold til softwaren, herunder garanti for softwarens ydeevne eller egnethed til et bestemt formål (ud over at PC Tools har ret til at give dig de rettigheder, der er angivet i denne aftale):
  - (b) Du vil ikke under nogen omstændighed have grund eller ret til at rejse krav eller kræve erstatning fra PC Tools i forbindelse med nogen form for tab, ødelæggelse eller skade (inklusive og uden begrænsning et hvert tab af indtjening, indirekte og affødt tab, ødelæggelse eller skade), som opstår ud fra levering af eller brug af softwaren eller noget brud på disse vilkår; og
  - (c) affødt af paragraf (b) ovenfor, kan PC Tools maksimale ansvar over for dig i relation til noget brud på denne aftale eller i forbindelse med din brug af softwaren være det beløb, du har betalt PC Tools for softwaren, og hvis du ikke har betalt PC Tools noget for softwaren, vil dette beløb være på US $ 1 (en amerikansk dollar).
6. 4.6 PC Tools vil ikke være ansvarlig for nogen indirekte eller affødte skader som følge af brud på denne aftale eller som følge af at have leveret softwaren.
7. 4.7 Du anerkender, at du har foretaget dit uafhængige valg ved at købe softwaren og ikke har baseret det på nogen beskrivelser fra PC Tools, der ikke udtrykkelig er nævnt i denne aftale eller på nogen beskrivelse, illustrationer eller specifikationer, der har været bragt i noget dokument, inklusive kataloger eller reklamematerialer produceret af PC Tools.
Ophavsret og varemærker
1. 5.1 Du anerkender, at softwaren og alle tilhørende produkter (inklusive, men ikke begrænset til, brugervejledning og skriftlige materialer vedrørende enheden) ("produkter") er underlagt ophavsret. Du må derfor ikke hverken under eller efter udløbet eller afslutning af denne aftale tillade noget, der krænker denne ophavsret og uden at begrænse den generelle gyldighed af det foregående, anerkender du specifikt, at du ikke må kopiere softwaren eller produkter, medmindre det på anden vis er udtrykkeligt godkendt i denne aftale.
2. 5.2 Du må hverken under eller på noget tidspunkt efter udløbet eller afslutningen af denne aftale tillade noget, der krænker de varemærker, der er anvendt i forbindelse med softwaren.
3. 5.3 Du skal holde PC Tools skadesløs for enhver form for ansvar, omkostninger og udgifter, som PC Tools kan pådrage sig fra en tredjepart som resultat af dit brud på denne paragraf 5.
Vilkår for licens og abonnement
1. 6.1 Denne aftale træder i kraft ved betaling af licensafgiften (i tilfælde af onlinedownload) eller ved din første installation og brug af softwaren (i tilfælde ved køb hos forhandler eller ved prøveversion) og kan ophøre under de følgende omstændigheder:
  1. (a) hvis du ikke overholder vilkårene i denne aftale;
  2. (b) hvis du som virksomhed går i betalingsstandsning, får udpeget en kurator eller bliver insolvent;
  3. (c) hvis du går personligt konkurs;
  4. (d) hvis du som virksomhed eller partnerskab opløses; eller
  5. (e) hvis du af en eller anden grund ødelægger softwaren og/eller produkterne.
2. 6.2 Ved ophør skal du eller en repræsentant udpeget af dig destruere alle tilbageværende eksemplarer af softwaren og produkterne eller på anden vis returnere eller skaffe sig af med sådanne materialer på den måde, PC Tools angiver.
3. 6.3 Ophør efter denne paragraf vil ikke have indflydelse på de rettigheder eller retsmidler, som PC Tools ellers måtte have i henhold til denne aftale eller loven.
Eksportbegrænsninger
1. 7.1 PC Tools, dets ansatte og repræsentanter er underlagt USA's eksportkontrollove, der forbyder eller begrænser (i) transaktioner med visse parter, og (ii) arten og niveauet af teknologier og tjenester, der må eksporteres. Du accepterer fuldt ud at overholde love og regler i USA og andre lande (eksportlove) for at sikre, at hverken software eller direkte produkter heraf bliver (1) eksporteret, direkte eller indirekte, i modstrid med eksportlove, eller (2) anvendes til formål, der forbydes af eksportlove, inklusive og uden begrænsning spredning af atom-, kemiske- eller biologiske våben.
2. 7.2 Intet af softwaren eller underliggende oplysninger eller teknologier må downloades eller på anden vis eksporteres eller reeksporteres (i) til (eller til statsborgere eller indbyggere i) Cuba, Nordkorea, Iran, Sudan, Syrien eller noget andet land, USA forbyder eksport til; eller (ii) til nogen på U.S. Treasury Departments liste over Specially Designated Nationals eller U.S. Commerce Departments Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions eller General Orders. Ved at downloade eller bruge softwaren accepterer du ovenstående, og du står ind for og garanterer, at du ikke befinder dig i, er kontrolleret af, eller er statsborger eller bosiddende i noget sådant land eller er på nogen sådan liste, og at du accepterer, at du er ansvarlig for at fremskaffe enhver nødvendig godkendelse fra USA's myndigheder for at sikre overholdelse af USA's love.
Overdragelse
Du må ikke videregive fordelen ved denne aftale (ved overdragelse, underlicensering eller på anden vis) uden PC Tools' skriftlige accept, og denne aftale skal være bindende for dine efterfølgere og dem, du har overdraget myndigheden til.
Frafaldelse
Mangel eller svigt fra en af partnerne i på noget tidspunkt at overholde betingelserne i denne licensaftale skal ikke udgøre eller vurderes som en frafaldelse af vedkommendes rettigheder i forhold til denne aftale.
10. Ændringer af disse vilkår
PC Tools kan ændre ethvert af vilkårene i denne aftale ved (a) at sende skriftlig meddelelse til dig om sådanne ændringer via e-mail, produktorientering; og/eller (b) vise sådanne ændringer eller en ændret version af denne aftale til dig under din installation og/eller kørsel af softwaren eller på PC Tools' websted. Uden at begrænse måderne, hvorpå du kan blive orienteret om sådanne ændrede vilkår, accepterer du og indvilger i, at din fortsatte brug af softwaren efter den dato, hvor du er orienteret om en sådan ændring af denne aftale, vil udgør din accept af de således ændrede vilkår.

Hvis du ikke accepterer sådanne ændringer af denne aftale foretaget af PC Tools, skal du afinstallere softwaren fra din enhed og ophøre med brug softwaren. I denne situation kan du kontakte PC Tools for at undersøge, om du er berettiget til en refundering eller delvis refundering af købsprisen betalt til PC Tools for softwaren (i forhold til enhver betingelse, PC Tools kan have stillet i forhold til betaling af en sådan refundering).
Gældende lov og domsmyndighed
Hvis parterne i denne aftale (som angivet i paragraf 1.1 ovenfor) er dig og PC Tools Pty Ltd ACN 108 759 208, er denne aftale underlagt og udformet i overensstemmelse med gældende love i Victoria, Australien, og du overgiver uigenkaldeligt enhver domsmyndighed til domstole i Victoria og Australien. Hvis parterne i denne aftale er dig og PC Tools Limited (irsk CVR-nr. 426110) vil denne aftale være underlagt og udformet i overensstemmelse med Irlands love, og du overgiver uigenkaldeligt enhver domsmyndighed til irske domstole.
