PC TOOLS END USER LICENSE AGREEMENT

NOTIFICATION: Permission to use this product (“Software”) is conditional upon you as the customer and licensee (“You”) agreeing to the terms set out below (this “Agreement”)

YOU WILL NOT BE ABLE TO INSTALL THE SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL THE TERMS OF THIS AGREEMENT BY CLICKING ON THE [“ I AGREE”] BUTTON. THIS WILL BE DEEMED TO BE YOUR AND YOUR EMPLOYEES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT AND YOU WILL BECOME THE LICENSEE OF THE SOFTWARE. PLEASE PRINT A COPY FOR YOUR RECORDS.

If You do not wish to accept the following terms do not select the [“I AGREE”] Button and the Software will not install on to Your computer, mobile or mobile computing device (“Device”). In circumstances where You purchase the Software without accepting the terms of this Agreement and wish to return the Software please contact PC Tools to determine whether You are eligible for a refund.

License
1. 1.1 If You are a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Australian Company, PC Tools Pty Ltd ACN 108 759 208 and the parties to this Agreement will be You and PC Tools Pty Ltd ACN 108 759 208. If You are not a resident of Oceania at the time You either first purchased or first installed the Software (whichever occurred first), then the licensor of the Software is an Irish Company, PC Tools Limited (Irish Company Number 426110) and the parties to this Agreement will be You and PC Tools Limited (Irish Company Number 426110). For the purposes of this Agreement, the licensor (being either PC Tools Limited or PC Tools Pty Ltd) will be referred to as "PC Tools". For the purposes of this Agreement, "Oceania" means American Samoa, Antarctica, Australia and its outside territories, including Heard Island & McDonald Islands, Cocos (Keeling) Islands, Christmas Island, Ashmore & Carter Islands, and Coral Sea Islands, Cook Islands, Fiji, French Polynesia, Guam, Kiribati, Marshall Islands, Federated States of Micronesia, Nauru, New Caledonia, New Zealand, Niue, Norfolk Island, Northern Mariana Islands, Palau, Papua New Guinea, Pitcairn Islands, Samoa, Solomon Islands, Tokelau, Tonga, Tuvalu, Vanuatu and Wallis and Futuna Islands.
2. 1.2 PC Tools has agreed to license use of the Software to You pursuant to this Agreement and the terms and conditions set out below.
3. 1.3 PC Tools grants to You a non-exclusive, non-transferable, revocable license to:
  - (a) install and execute the Software;
  - (b) make one additional copy of the Software for backup purposes only; and
  - (c) use the Software strictly in accordance with the provisions of this Agreement during the subscription period specified for that Software.
4. 1.4 The number of Devices on which You are entitled to install and execute the Software is specified at the time of purchase. If You wish to install the Software on more than this number of Devices, You may only do so upon receipt of written consent from PC Tools and upon payment of an additional license fee as stipulated by PC Tools.
5. 1.5 Your license to use the Software as granted herein only permits You to use the version of the Software which You have installed or purchased from PC Tools. Some products will include Your rights to receive automatic updates, enhancements and improvements of the Software and these will be provided to You by PC Tools at its sole discretion. Some products may require You to upgrade to a more recent version if You wish to avail Yourself of the support services by PC Tools in relation to that particular product. These upgrades are usually offered as part of the subscription provided to You or may be required as part of PC Tools product lifecycle. If You receive such an update or improvement, such Software shall automatically be deemed to be a part of the Software licensed to You under this Agreement. If You enter into a separate agreement with PC Tools for the supply of any other product or updates of the Software then such a separate Agreement will govern the use of those products and updates.
6. 1.6 You acknowledge that PC Tools may offer to maintain and update the Software but it is not obliged to do so unless You have purchased a subscription that entitles You to updates for a specified period, or You purchase a separate maintenance contract. If no subscription period is specified at the time You purchase a license for this product, the subscription period will be one (1) year from the date You either first purchased (in the case of online downloads) or first installed the Software (in the case of retail purchases). Should You wish to receive information about updates please view PC Tools website on a regular basis at www.pctools.com.
7. 1.7 If You have purchased a subscription that entitles You to updates, or You purchase a separate maintenan+-ce contract, You acknowledge that after the specified subscription period or maintenance period has expired, You have no further right to receive any updates without the purchase of a renewal or new subscription or maintenance contract. You also acknowledge that PC Tools may limit the functionality of the Software upon the expiry of any subscription period or maintenance period unless You purchase a new subscription or maintenance contract.
License Fee
1. 2.1 Where a license fee is payable by You in respect of the Software, You are not entitled to use the Software until the license fee has been paid and then only for the period of the subscription (where specified). In the case of payment by credit card, payment will not be deemed paid until the credit card payment has been authorized by the billing provider. A separate license fee is payable in the circumstances described in clause 1.4.
2. 2.2 However, You are not entitled to receive technical support nor the full functionality that comes with the Software until a license fee has been paid.
Licensee's Obligations
1. 3.1 As the Licensee You hereby undertake the following obligations:
  - (a) to not print, copy, reproduce, translate, adapt, vary, alter, change, reverse engineer, decompile or modify the Software by any means or in any other form, other than to make one temporary copy of the Software for back-up and security purposes, without the express consent of PC Tools, except as expressly authorized by this Agreement and subject to Your rights under applicable law;
  - (b) to supervise and control the use of the Software in accordance with the terms of this Agreement;
  - (c) to ensure Your employees, sub-contractors and other agents who have authorized access to the Software are made aware of the terms of this Agreement;
  - (d) to not provide or otherwise make available the Software in any form to any person other than those referred to in paragraph (c) without the written consent of PC Tools;
  - (e) to not give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate or publish the Software in any form to any other person or attempt to do any of these acts;
  - (f) to not alter, change, remove or obscure any notices or other indications (including copyright notices) as to ownership of the Software;
  - (g) not to access or use the Software on more than one personal stand-alone Device, or otherwise allow the Software to be accessed or used by more than one user at any one time except as expressly authorized by this Agreement;
  - (h) to not engage in any acts which infringe PC Tools intellectual property rights in the Software; and
  - (i) to not use the Software in automatic, semi-automatic or manual tools designed to create virus signatures, virus detection routines, any other data or code for detecting malicious code or data.
2. 3.2 You acknowledge that the License granted by clause 1 does not make You the owner of the Software nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property rights subsisting in the Software to You.
3. 3.3 If you have licensed antivirus Software, you acknowledge that the Software will seek to remove codes such as viruses, spyware, adware and malware. In some circumstances removal of detected code may result in You breaching a license to use the host software which originally installed the code and may result in host programs to cease operating. You agree to consult the terms of any license agreement for the host program before authorizing the removal of any viruses, spyware, adware or malware associated with that program.
Warranty
1. 4.1 You hereby acknowledge that the Software may not be uninterrupted and cannot be guaranteed error free and further acknowledge that the existence of any such errors shall not constitute a breach of this Agreement by PC Tools. In particular, PC Tools does not guarantee that the Software will (i) detect and/or remove all known viruses, spyware, adware, malware, Trojans, keyloggers and trackware, or locate all browser infections and tracking cookies on Your Device, nor that the Software will not occasionally erroneously report a virus in a file or system not infected by that virus; (ii) recover or detect all undeleted files which are present on Your Device; (iii) block all threats on Your Device, including from malicious websites or potential hackers; (iv) detect and/or filter all spam or junk email; or (v) detect, remove or rectify any errors on Your Device, including, without limitation any errors in Your Windows registry file or other operating system errors. If the Software is a beta version, You acknowledge and agree that (i) the Software may contain errors and defects and may not function as intended or in accordance with its specifications; and (ii) You assume all risk in using the Software and agree to take due care in the installation, execution and testing of the Software on Your Device’s system.
2. 4.2 The particular operating systems upon which the Software has been designed to execute will be published by PC Tools from time to time ("Compatible OS"). You agree that You will not execute or install the Software on any operating system other than a Compatible OS. You acknowledge and agree that the Software may not execute correctly and may interfere with other software if executed on an operating system which is not a Compatible OS.
3. 4.3 In the event that any terms, conditions, representations or warranties are implied by statute, common law or equity ("Prescribed Terms") into this Agreement which cannot be lawfully excluded, the Prescribed Terms will apply to this Agreement, save that the liability of PC Tools for breach of any Prescribed Terms will be limited, to the extent permitted by law, at the option of PC Tools, to any one or more of the following:
  - (a) the replacement of the Software to which the breach relates or the supply of equivalent Software;
  - (b) the repair of the Software;
  - (c) the payment of the cost of replacing the Software or of acquiring equivalent Software; or
  - (d) the payment of the cost of having the Software repaired.
4. 4.4 If the liability of PC Tools for breach of any Prescribed Terms is capable of exclusion, they are hereby excluded to the fullest extent permitted by law.
5. 4.5 Except as provided by the Prescribed Terms (if any), which are not capable of exclusion or limitation, or as expressly set out in these terms:
  - (a) PC Tools makes no warranties in relation to the Software, including warranties as to the performance or fitness for purpose of the Software (other than that PC Tools is entitled to grant to You the rights set out in this Agreement);
  - (b) You will not under any circumstances have any cause of action against, or right to claim or recover from, PC Tools for or in respect of any loss, damage or injury (including without limitation any loss of profit, indirect or consequential loss, damage or injury) arising from the supply or use of the Software or any breach of these terms; and
  - (c) subject to paragraph (b) above, the maximum liability of PC Tools to You in respect of any breach of this Agreement or otherwise in respect of Your use of the Software will be the amount You have paid PC Tools for the Software and if You have not paid PC Tools any amount for the Software, will be the amount of US $1 (one US dollar).
6. 4.6 PC Tools will not be liable for any indirect or consequential damages arising out of a breach of this Agreement or arising out of the supply of the Software.
7. 4.7 You acknowledge that You have exercised Your independent judgment in acquiring the Software and have not relied upon any representations made by PC Tools which have not been stated expressly in this Agreement or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material produced by PC Tools.
Copyright and Trade Marks
1. 5.1 You acknowledge that the Software and all related products (including but not limited to Device manuals and Device literature) ("Products") are the subject of copyright. You therefore, shall not during or any time after the expiry or termination of this Agreement, permit any act which infringes that copyright and, without limiting the generality of the foregoing, You specifically acknowledge that You may not copy the Software or Products except as otherwise expressly authorized by this Agreement.
2. 5.2 You shall not during or at any time after the expiry or termination of this Agreement permit any act which infringes the trademarks used in connection with the Software.
3. 5.3 You shall indemnify PC Tools fully against all liabilities, costs and expenses which PC Tools may incur to a third party as a result of Your breach of this clause 5.
Term of License and Subscription
1. 6.1 This Agreement commences upon payment of the license fee (in the case of online downloads) or upon Your first installation and use of the Software (in the case of retail purchases or trialware) and may be terminated in the following circumstances:
  1. (a) if You are in breach of any term of this Agreement;
  2. (b) if You, being a corporation, become the subject of insolvency proceedings or have a liquidator, receiver or examiner appointed to You or become unable to pay Your debts;
  3. (c) if You, being a person rather than a company, become bankrupt;
  4. (d) if You, being a firm or partnership, are dissolved; or
  5. (e) if You destroy the Software and/or the Products for any reason.
2. 6.2 Upon termination, You or a representative nominated by You shall destroy any remaining copies of the Software and Products or otherwise return or dispose of such material in the manner directed by PC Tools.
3. 6.3 Termination pursuant to this clause shall not affect any rights or remedies which PC Tools may otherwise have under this Agreement or at law.
Export Restrictions
1. 7.1 PC Tools, its employees and its agents are subject to U.S. export control laws that prohibit or restrict (i) transactions with certain parties, and (ii) the type and level of technologies and services that may be exported. You agree to comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither the Software, nor any direct products thereof are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.
2. 7.2 None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Sudan, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's List of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List, Nonproliferation Sanctions or General Orders. By downloading or using the Software, You are agreeing to the foregoing and You are representing and warranting that You are not located in, under the control of, or a national or resident of any such country or on any such list, and that You acknowledge You are responsible to obtain any necessary U.S. government authorization to ensure compliance with U.S. law.
Assignment
The benefit of this Agreement shall not be dealt with in any way by You (whether by assignment, sub-licensing or otherwise) without PC Tools' written consent and this Agreement shall be binding on Your successors and assigns.
Waiver
Failure or neglect by either party to enforce at any time any of the provisions of this license Agreement shall not be construed or deemed to be a waiver of that party's rights under this Agreement.
Amending These Terms
PC Tools may amend any of the terms of this Agreement by (a) providing written notice to You of such amendments by email, Product smart alert; and/or (b) displaying such amendments or an amended copy of this Agreement to You during Your installation and/or execution of the Software or on the PC Tools Website. Without limiting the methods by which You may be notified of such amended terms, You acknowledge and agree that Your ongoing use of the Software after the date You are notified of any such changes of this Agreement, will constitute Your acceptance of such amended terms

If You do not agree to any amendments made by PC Tools to the terms of this Agreement, then You must uninstall the Software from Your Device and cease any further use of the Software. In such circumstances, You may also contact PC Tools to determine if You are eligible for a refund or partial refund of any purchase price paid to PC Tools in respect of the Software (subject to any conditions which PC Tools may place in respect of paying such a refund).
Governing Law and Jurisdiction
If the parties to this Agreement (as determined by Clause 1.1 above) are You and PC Tools Pty Ltd ACN 108 759 208, then this Agreement shall be governed by and construed according to the laws in force in Victoria, Australia and You irrevocably submit to the exclusive jurisdiction of the Courts of the State of Victoria and the Commonwealth of Australia. If the parties to this Agreement are You and PC Tools Limited (Irish Company Number 426110) then this Agreement will be governed by and construed according to the laws in force in the Republic of Ireland and You irrevocably submit to the exclusive jurisdiction of the Courts of the Republic of Ireland.

Caso prefira não aceitar os termos abaixo, não clique no botão["CONCORDO"] e o Software não será instalado no Seu computador, celular ou dispositivo de computação móvel ("Dispositivo"). Caso Você adquira o Software sem aceitar os termos deste Contrato e queira devolvê-lo, entre em contato com a PC Tools para determinar se Você tem direito a um reembolso.

Licença
1. 1.1 Se Você residia na Oceania quando comprou ou instalou o Software (o que ocorrer primeiro), o licenciador do Software será uma empresa australiana, a PC Tools Pty Ltd ACN 108 759 208, e as partes deste contrato serão Você e a PC Tools Pty Ltd ACN 108 759 208. Se Você não residia na Oceania quando comprou ou instalou o Software (o que ocorrer primeiro), o licenciador do Software será uma empresa irlandesa, PC Tools Limited (Número de registro na Irlanda: 426110), e as partes deste contrato serão Você e a PC Tools Limited (Número de registro na Irlanda: 426110). 2. 1.2 A PC Tools concordou em licenciar o uso do Software a Você de acordo com este Contrato e com os termos e as condições especificados abaixo.
3. 1.3 A PC Tools concede a Você uma licença não exclusiva, não transferível e irrevogável para:
  - (a) instalar e executar o Software;
  - (b) fazer uma cópia adicional do Software somente para fins de backup; e
  - (c) usar o Software rigorosamente de acordo com as cláusulas deste Contrato durante o período de assinatura especificado para o Software.
4. 1.4 O número de Dispositivos nos quais você tem o direito de instalar e executar o Software é especificado no momento da compra. Se Você pretende instalar o Software em um número maior de Dispositivos, poderá fazê-lo somente após o consentimento por escrito da PC Tools e após o pagamento da tarifa de licença adicional conforme estipulado pela PC Tools.
5. 1.5 A Sua licença para usar o Software conforme concedida aqui permite que Você use somente a versão do Software que Você tenha instalado ou comprado da PC Tools. Alguns produtos incluirão Seus direitos de receber atualizações automáticas, aprimoramentos e melhorias do Software, que serão fornecidos a Você pela PC Tools a seu exclusivo critério. Alguns produtos poderão exigir que Você faça o upgrade para uma versão mais recente se Você desejar utilizar os serviços de suporte oferecidos pela PC Tools em relação a um produto específico. 6. 1.6 Você reconhece que a PC Tools poderá oferecer a manutenção e a atualização do Software, mas não tem nenhuma obrigação de fazê-lo, a menos que Você tenha adquirido uma assinatura que lhe dê direito a atualizações por um período específico, ou que Você obtenha um contrato de manutenção separado. Se nenhum período de assinatura for especificado no momento da compra da licença para este produto, o período de assinatura será de um (1) ano a partir da data que Você comprou (no caso de downloads online) ou instalou pela primeira vez o Software (no caso de compras no varejo). 7. 1.7 Se Você adquiriu uma assinatura que o qualifique a receber atualizações ou se adquiriu um contrato de manutenção separado, Você está ciente de que, após a expiração do período de assinatura ou manutenção especificado, não terá mais direito a receber atualizações sem adquirir uma renovação, uma nova assinatura ou um contrato de manutenção. Você está ciente também de que a PC Tools poderá limitar a funcionalidade do Software após a expiração do período de qualquer assinatura ou manutenção, a menos que Você adquira uma nova assinatura ou um novo contrato de manutenção.
Taxa de Licença
1. 2.1 Onde uma taxa de licença for aplicável em relação ao Software, Você não terá direito ao uso do Software até que a taxa de licença seja paga e, então, somente pelo período da assinatura (quando especificado). No caso de uso do cartão de crédito, o pagamento não será considerado efetuado enquanto não for autorizado pela operadora do cartão. Uma taxa de licença separada será cobrada nas circunstâncias descritas na cláusula 1.4.
2. 2.2 Se Você estiver fazendo o download de uma versão gratuita ou de teste do Software, poderá usá-la em um ou mais Dispositivos por um período ilimitado (sujeito a restrições de tempo e/ou funcionalidades que poderão ser incorporadas à versão de teste). Porém, Você não terá direito a receber suporte técnico nem a funcionalidade completa que acompanha o Software, até que o pagamento da taxa de licença seja efetuado.
Obrigações do Licenciado
1. 3.1 Como o Licenciado, Você concorda, através deste contrato, em cumprir com as seguintes obrigações:
  - (a) não imprimir, copiar, reproduzir, traduzir, adaptar, variar, alterar, mudar, fazer engenharia reversa, descompilar ou modificar o Software de nenhuma maneira que não seja fazer uma cópia temporária do Software para fins de backup e segurança, sem o consentimento expresso da PC Tools, exceto conforme expressamente autorizado por este Contrato e sujeito aos Seus direitos sob a lei aplicável;
  - (b) supervisionar e controlar o uso do Software de acordo com os termos deste Contrato;
  - (c) garantir que Seus funcionários usem o Software de acordo com os termos deste Contrato;
  - (d) não fornecer nem disponibilizar o Software de qualquer forma para qualquer pessoa a não ser aquelas mencionadas no parágrafo (c) sem o consentimento por escrito da PC Tools;
  - (e) não fornecer, alugar, atribuir, licenciar, sublicenciar, transferir, distribuir, divulgar, disseminar ou publicar o Software de nenhuma forma a nenhuma outra pessoa ou tentar fazer nenhuma dessas atividades;
  - (f) não alterar, mudar, remover ou ocultar nenhum aviso ou outras indicações (incluindo avisos de copyright) relacionadas à propriedade do Software;
  - (g) não acessar ou usar o Software em mais de um Dispositivo pessoal independente, ou permitir que o Software seja acessado por mais de um usuário em qualquer momento, exceto conforme expressamente autorizado por este Contrato;
  - (h) não se envolver em nenhuma atividade que infrinja os direitos de propriedade intelectual da PC Tools no Software; e
  - (i) não usar o Software em ferramentas automáticas, semiautomáticas ou manuais designadas para criar assinaturas de vírus, rotinas de detecção de assinaturas, qualquer outro dado ou código para a detecção de dados ou códigos maliciosos.
2. 3.2 Você está ciente de que a Licença concedida pela cláusula 1 não torna Você o proprietário do Software e não causa a transferência ou a atribuição de nenhum copyright ou outro direito de propriedade industrial ou intelectual subsistente no Software para Você.
3. 3.3 Se Você possui o Software antivírus licenciado, Você está ciente de que o Software tentará remover códigos como vírus, spyware, adware e malware. Em algumas circunstâncias, a remoção do código detectado poderá resultar na violação da licença para usar o software host que originalmente instalou o código, e poderá resultar na interrupção da operação dos programas do host. Você concorda em consultar os termos de qualquer contrato de licença para o programa do host antes de autorizar a remoção de qualquer vírus, spyware, adware ou malware associados a esse programa.
Garantia
1. 4.1 Você está ciente de que o Software poderá não ser ininterrupto e não pode oferecer garantias de não conter erros; Você aceita também que a existência de tais erros não deverá representar a violação deste Contrato por parte da PC Tools. A PC Tools especificamente não garante que o Software vai (i) detectar e/ou remover vírus, spyware, adware, malware, Cavalos de Troia, registradores do uso do teclado e trackware ou localizar todas as infecções do navegador e cookies de rastreamento no Seu Dispositivo, nem que o Software ocasionalmente não relatará um vírus em um arquivo ou sistema que não esteja infectado por tal vírus; (ii) recuperar ou detectar todos os arquivos não excluídos que estiverem presentes no Seu Dispositivo; (iii) bloquear todas as ameaças no Seu Dispositivo, incluindo as provenientes de sites maliciosos e hackers potenciais; ou (iv) detectar e/ou filtrar todos os e-mails de spam ou junk; ou (v) detectar, remover ou retificar erros no Seu Dispositivo, incluindo, sem limitações, todos os erros no seu arquivo de registro do Windows ou erros em outros sistemas operacionais. Se o Software for uma versão beta, Você está ciente e concorda que (i) o Software poderá conter erro e defeitos e pode não funcionar conforme previsto ou de acordo com suas especificações; e (ii) Você assume todos os riscos do uso do Software e concorda em tomar os devidos cuidados ao instalar, executar e testar o Software no sistema do Seu Dispositivo.
2. 4.2 Os sistemas operacionais específicos para os quais o Software foi designado para execução será divulgado pela PC Tools periodicamente como ("SO Compatível"). Você concorda que não instalará o Software em nenhum outro sistema operacional que não seja um SO Compatível. Você entende e concorda que o Software não será executado corretamente e poderá interferir com outro software se for executado em um sistema operacional que não seja um SO Compatível.
3. 4.3 No caso de quaisquer termos, condições, representações ou garantias estarem implícitas por estatuto, lei comum ou equidade ("Termos Prescritos") neste Contrato, que não puderem ser legalmente excluídos, os Termos Prescritos serão aplicados a este Contrato, salvo que a responsabilidade da PC Tools pela violação de quaisquer Termos Prescritos será limitada, à extensão permitida pela lei, de acordo com a preferência da PC Tools em relação a uma ou mais das seguintes circunstâncias:
  - (a) a substituição do Software ao qual a violação se refere ou o fornecimento de Software equivalente;
  - (b) o reparo do Software;
  - (c) o pagamento do custo de substituição do Software ou a aquisição de um Software equivalente; ou
  - (d) o pagamento do custo do reparo do Software.
4. 4.4 Se a responsabilidade da PC Tools pela violação de quaisquer Termos Prescritos estiver suscetível a exclusão, ela estará aqui excluída na extensão máxima permitida pela lei.
5. 4.5 Exceto conforme fornecido nos Termos Prescritos (se houver), que não estão suscetíveis a exclusão ou limitação, ou conforme expressamente especificado nestes termos:
  - (a) A PC Tools não oferece nenhuma garantia em relação ao Software, incluindo garantias de desempenho ou adequação para os fins do Software (que não seja o direito que a PC Tools tem de conceder a Você os direitos definidos neste Contrato);
  - (b) Você não terá, em nenhuma circunstância, nenhuma causa de ação contra ou o direito de reivindicar ou recuperar da PC Tools para ou em relação a qualquer perda, dano ou prejuízo (incluindo sem limitações qualquer perda de lucros, perda indireta ou consequencial, dano ou prejuízo) resultante do fornecimento ou uso do Software ou qualquer violação destes termos; e
  - (c) sujeito ao parágrafo (b) acima, a responsabilidade máxima da PC Tools em relação a qualquer violação deste Contrato ou em respeito ao Seu uso do Software e se Você pagou a PC Tools pelo Software e se Você não pagou a PC Tools nenhum valor referente ao Software, será o valor de US$ 1 (um dólar americano).
6. 4.6 A PC Tools não se responsabilizará por qualquer dano direto ou consequencial resultante da quebra deste Contrato ou do fornecimento do Software.
7. 4.7 Você concorda que exerceu Seu julgamento independente ao adquirir o Software e não contou com nenhuma representação feita pela PC Tools que não tenha sido expressamente declarada neste Contrato ou em descrições, ilustrações ou especificações contidas em qualquer documento, incluindo catálogos ou materiais públicos, produzidos pela PC Tools.
Copyright e Marcas Comerciais
1. 5.1 Você está ciente de que o Software e todos os produtos relacionados (incluindo, entre outros, os manuais e a documentação do Dispositivo) ("Produtos") estão sujeitos ao copyright. Você portanto não poderá, durante este Contrato ou após a expiração ou o encerramento deste Contrato, permitir qualquer ato que infrinja este copyright e, sem limitar a generalidade citada acima, Você está especificamente ciente de que Você não poderá copiar o Software ou os Produtos, exceto conforme expressamente autorizado neste Contrato.
2. 5.2 Você não deverá durante este Contrato ou em qualquer momento após a expiração ou o encerramento deste Contrato permitir nenhum ato que infrinja as marcas comerciais usadas em conexão com o Software.
3. 5.3 Você deverá indenizar a PC Tools totalmente contra qualquer responsabilidade, custos ou despesas incorridas à PC Tools como resultado da Sua violação da cláusula 5.
Termo da Licença e Assinatura
1. Este Contrato será iniciado após o pagamento da taxa de licença (no caso de downloads online) ou após a Sua primeira instalação e uso do Software (no caso de compras no varejo ou trialware) e poderá ser encerrado mediante as seguintes circunstâncias:
  1. (a) se Você violar qualquer termo deste Contrato;
  2. (b) se Você, sendo uma corporação, tornar-se o sujeito de procedimentos de insolvência ou tiver um liquidatário, um arrecadador ou um examinador nomeado para Você ou se não for capaz de sanar Suas dívidas;
  3. (c) se Você, como pessoa física e não como uma empresa, declarar falência;
  4. (d) se Você, como empresa ou parceria, declarar dissolução; ou
  5. (e) se Você destruir o Software e/ou os Produtos por qualquer motivo.
2. 6.2 Após o encerramento, Você ou um representante denominado deverá destruir todas as cópias remanescentes do Software e dos Produtos ou devolver ou descartar esses materiais da forma instruída pela PC Tools.
3. 6.3 O encerramento determinado nesta cláusula não deverá afetar qualquer direito ou correção que a PC Tools possa ter, de alguma outra forma, neste Contrato ou por lei.
Restrições de Exportação
1. 7.1 A PC Tools, seus funcionários e seus agentes estão sujeitos às leis de controle de exportação dos EUA, que proíbem ou restringem (i) transações com determinadas partes, e (ii) o tipo e o nível de tecnologia e serviços que podem ser exportados. Você concorda em cumprir completamente todas as leis e regulamentos dos Estados Unidos e de outros países (Leis de Exportação) a fim de garantir que nem o Software, nem qualquer outro produto direto sejam (1) exportados, direta ou indiretamente, violando as Leis de Exportação, ou (2) sejam usados para finalidades proibidas pelas Leis de Exportação, incluindo, entre outros, a proliferação de armas nucleares, químicas ou biológicas.
2. 7.2 Nenhum a parte do Software ou informação ou tecnologia subjacente pode ser obtido por download ou exportado ou reexportado (i) para (ou para um cidadão ou residente de) Cuba, Coreia do Norte, Irã, Sudão, Síria ou qualquer outro país com o qual os Estados Unidos mantêm embargo de mercadorias; ou (ii) para qualquer pessoa da lista de cidadãos especialmente designados do Ministério da Fazenda dos EUA ou da lista de pessoas bloqueadas, pessoas impedidas, lista de desaprovados, lista de entidades, sanções de não proliferação do Departamento de Comércio ou de Ordens gerais dos EUA. Ao fazer o download ou usar o Software, Você concorda com o que foi estabelecido anteriormente e representa e garante que não está localizado ou sob o controle, ou que não é um cidadão ou residente de tais países ou que não faz parte de nenhuma das listas, e Você entende que é responsável pela obtenção de qualquer autorização do governo dos EUA, necessária para garantir a conformidade com a lei dos EUA.
Atribuição
Os benefícios deste Contrato não devem ser gerenciados por Você (seja por atribuição, sublicenciamento ou outro acordo) sem o consentimento por escrito da PC Tools e este Contrato devem ser vinculados aos seus sucessores e designados.
Isenção de Responsabilidade
A negligência ou a incapacidade de qualquer uma das partes de aplicar, a qualquer momento, qualquer cláusula deste Contrato de licença não será interpretada ou considerada como uma renúncia dos direitos da parte ao Contrato.
Emendas aos Termos
A PC Tools poderá emendar qualquer dos termos deste Contrato, através de aviso por escrito a Você, e-mail, alerta inteligente do produto; e/ou (b) exibindo tais emendas ou uma cópia emendada e/ou a execução do Software ou no site da PC Tools. Sem limitação aos métodos através dos quais Você pode notificar tais termos emendados, Você está ciente e concorda que o Seu uso constante do Software após a data que Você foi notificado sobre tais alterações a este Contrato, constituirá a Sua aceitação dos termos emendados.

Caso não concorde com alguma emenda feita pela PC Tools aos termos deste Contrato, Você deverá desinstalar o Software do seu Dispositivo e interromper o uso do Software. Em tais circunstâncias, Você poderá também entrar em contato com a PC Tools para determinar se Você está qualificado para um reembolso total ou parcial do valor pago à PC Tools pelo Software (sujeito às condições que a PC Tools poderá estabelecer em relação ao pagamento de tal reembolso).
Lei Administrativa e Jurisdição
Se as partes deste Contrato (conforme determinado pela cláusula 1.1 acima) forem Você e a PC Tools Pty Ltd ACN 108 759 208, este Contrato deverá ser controlado de acordo com as leis vigentes em Victoria, Austrália e Você irrevogavelmente será submetido à jurisdição exclusiva do Fórum do Estado de Victória e da Comunidade das Nações da Austrália. Se as partes deste Contrato forem Você e a PC Tools Limited (Número de registro na Irlanda: 426110), este Contrato será controlado de acordo com as leis vigentes na República da Irlanda e Você irrevogavelmente será submetido à jurisdição exclusiva do Fórum da República da Irlanda.
